GSOG MO, within IB Finance and Business Management is on the Private side which comprises of business-aligned support functions - Deal management and Finance / PnL. This role based in Hong Kong, is specifically hiring for Deal management.
GSOG invests and trades in loans and securities using JPM (the "Firm") balance sheet. It acts exclusively as principal. GSOG engages in three main business activities:
(i) Principal Financing transactions originated by GSOG;
(ii) Principal Real Estate related financing transactions originated by GSOG; and
(iii) Secondary proprietary trades in traded or listed Impaired Assets made on the basis of both private and public information.
As part of its Principal Financing businesses, GSOG makes new Loans and invests in newly issued Bonds and Shares, usually paying/funding the Borrower, Issuer or Portfolio Company (as the case may be). GSOG often also enters into related agreements with other stakeholders (e.g. shareholder, inter-creditor and bondholder agreements, put/call option agreements, guarantees, and third party security agreements). When GSOG sells interests in Loans, Bonds and/or Shares, it normally receives funds from the third party buyer. As part of its Impaired Investing business, GSOG buys and sells interests in Loans, Participations, Bonds and Shares, usually from FI's who sell/buy assets to/from GSOG either as principal or as agent for their clients.
The assets held are typically less liquid and traded via non-core JPM entity with limited infrastructure setup. Straight through processing (STP) is not usually achievable.
Job Responsibilities
- Provide operation administration support to GSOG Business. Closely work with other GSOG Working Group (Finance, Legal, Compliance, Tax, Operations, External counselors and etc.) to close deals which can be often complex and lengthy in nature. Take ownership of the execution and settlement process which encompasses the co-ordination of relevant documentations, approvals, deal execution, settlement and post closing Asset management. Asset management functions includes the handling of corporate actions and agent correspondences / financial covenant
- Work closely with the Front Office to review the deal structure at deal pre-screening stage, identify potential challenge / infrastructure limitation (not limit to operational, accounting etc) and provide solution plan
- Liaise with local custodians and internal operations team to understand the settlement / repatriation process and regulatory requirements for timely and accurate settlement
- Ensure deal execution comply with the pre-defined GSOG deal management governance (e.g. Investment Committee approval) and firm policies (e.g. KYC or Due diligence requirement)
- Ensure Books Record (booking physical legal documents) are properly maintained. Works closely with PnL Finance team ensure deals are accurately captured in compliance with accounting reporting requirements
- Other major projects include New Business Initiatives Applications (NBIA), Trading license application, and arrange SPV entity related trade flow/settlement infrastructure setup
Skills
- We are specifically seeking candidates with 5-8 years of investment banking experience, preferably with trade support and/or Middle Office / Product Control
- Risk Control focus - the candidate need to be sensitive to wall cross issues
- Strong attention to details - The role deals extremely with non-standard issues and requires substantial understanding of legal documents
- Business judgment - Must be able to apply sound judgment to complex and non-standard situations
- Analytical skills - Need to quickly develop an understanding of booking infrastructure and transaction flow
- Strong communication skills - Ability to articulate issues and communicate clear course of action, managing stakeholders' expectations. Ability to coordinate with various other teams to action items
- Strong leadership potential - Ability to multi-task in a high-pressure environment and the gravitas to challenge Front Office
- Financially numerate with good excel and PC skills
- Experience at PnL/financial reporting, budgeting and forecasting is a plus
