Assistant Company Secretarial Officer
A renowned global group of companies, specialising in shipping, financial services, logistics, floating accommodation and offshore project management, is seeking an ambitious Assistant Company Secretarial Officer to join their in house governance team.
Primary Responsibilities:
- Company secretarial compliance for all group companies, including submission of statutory accounts and annual returns within prescribed deadlines
- Informing Companies House of any significant changes in the company’s structure or management
- Maintenance of statutory registers in Blueprint and the manual Company Statutory books
- Establishing and maintaining the company’s registered office as the address for any formal communications. Ensuring that all the company’s business stationery carries its name, registered number, country of registration and registered address. These details must also appear on the company website, emails, order forms and invoices.
- Ensuring the security of the company’s legal documents, including for example, the Certificate of Incorporation and Memorandum and Articles of Association.
- Manage and maintain a register of key contract and property documents, filing electronic copies thereof and filing of the original paper documents in secure storage, control their retrieval and answer queries thereon.
- Board and Committee support in particular the preparation of agendas and provision of electronic and hard copy board papers
- Preparation of various transactional minutes
- Assisting divisions with acquisitions and disposals of assets and companies and incorporation/ dissolution of companies
- Assist with shareholder communication and administration i.e payment of dividends, registration of share ownership, transfers etc
- Other duties as required so support either the Company Secretarial Department or related activities within the Group
Essential Criteria:
- Graduate ICSA, graduate studying ICSA qualification or equivalent
- At least 2 years experience working within a professional services environment, preferably in a company secretarial environment.
- Excellent attention to detail
- Ability to remain calm and focused whilst managing high workloads and competing demands
- Self motivated, analytical and problem solving and decision making skills
- An ability to communicate succinctly and appropriately with people at all levels (including strong verbal and written communications skills)
- Integrity and discretion when handling confidential information
- Highly IT literate in Microsoft Office (Word, Excel) plus the capability to develop specialist IT skills eg Blueprint
Desirable Criteria
- Knowledge of Company Secretarial software, Blueprint
- Familiarity with Electronic Board Packs
