Assistant Corporate Secretary recruitment
Under general supervision, acts as an Assistant Secretary of T. Rowe Price Group, Inc. and, as appropriate, its global subsidiaries. Responsible for certain corporate governance, stockholder, Board of Directors, and Executive Officer related matters. Acts as a liaison with Directors and Executive Officers.
PRINCIPAL RESPONSIBILITIES
Ensures that required Board of Directors and Board Committee meetings are properly planned (agenda etc.), held, and recorded. Ensures that appropriate supporting business units provide their required data elements on-time and in an appropriate format for presentation to the Board. Prepares for and coordinates annual stockholder meetings, in person or through consent(s). May be required to participate in the preparation and coordination of offsite board meetings.
Coordinates and organizes the flow of information to outside Directors and Executive Officers. Acts as the primary liaison with outside Directors and other departments to ensure coordination of Board-related communications, including preparation of Board materials and other director correspondence.
Serves as the official record keeper of the Company including tracking of corporate officers and charters for all companies and committees throughout the organization. Develops, tracks, monitors, and ensures the security and safekeeping of all Company records in compliance with the regulatory requirements in all global offices.
Functions as one of the principal points of contacts and liaison to shareholder groups.
Coordinates the production of any records maintained by the Corporate Secretary’s Office that are required in connection with litigation, regulatory inquiries, or outside financial audits. Manages numerous relationships with outside vendors.
Determines need to maintain business qualifications in all jurisdictions. Prepares applications and other required compliance filings
QUALIFICATIONS
Preferred
- Bachelor’s degree with a minimum of 8-10 years of relevant experience
- Prior Assistant Corporate Secretary or Corporate Secretary experience
- Legal or paralegal education a plus
Required
- College degree and 2 years of related work experience, or
- Associate degree and 4 years related work experience, or
- High School diploma/equivalent and 6 years related work experience
- Knowledge of laws and regulations pertaining to corporate governance and board requirements for a publicly traded company (U.S. and outside the U.S.)
- Experience arranging and managing annual stockholder’s meetings
- Excellent written and verbal communication skills, including ability to draft well-written reports, Board minutes, resolutions and consents
- Must be a detail-oriented, well-organized, critical thinker with strong analytical skills
- Highly collaborative partner with strong interpersonal skills and the ability to work effectively with team members and all levels across the organization, including Executive Officers
- Demonstrated ability to discretely handle highly confidential and sensitive information
- Demonstrated commitment to expand knowledge and adapt to new situations and changing environments
- Experience using document management systems
