Join P.F. Chang’s as an Assistant General Counsel at our Home Office in North Scottsdale! You will be a key member of our Legal Department as you provide legal advice to the Company relating to activities conducted by PFCB, Inc. and its affiliates, including Pei Wei Asian Diner, Inc. The position will primarily support the Marketing, Supply Chain, and Information Services departments, and includes providing day-to-day and strategic advice and guidance, as well as extensive drafting, reviewing and negotiation of contracts, management of the Company’s Intellectual Property portfolio, ensuring on-going legal compliance, and management of outside counsel as necessary. In addition, as the legal needs of the Company’s International/Global Brand Development department grow, you will be an available legal resource.
Essential Functions:
- Lead attorney primarily for the Marketing, Supply Chain, and Information Services departments and partner with those business units and senior management to provide day-to-day and big-picture strategic advice and guidance in order to achieve the Company’s objectives. In addition, as the legal needs of the International/Global Brand Development department grow, you will be an available legal resource, the responsibilities of which may include drafting, reviewing, and negotiating international partnership, licensing and franchising agreements.
- Lead attorney for all Home Office contracts and draft, review, and negotiate contracts including (among others) software license and implementation, master service/provider, marketing, consulting, and confidentiality agreements; you will also create, implement and manage an internal contracts review and administration process.
- Manage all Intellectual Property matters on behalf of the Company, including management and maintenance of the Company’s domestic and international Intellectual Property portfolio.
- Provide pre-publication legal review of advertising and promotional marketing materials.
- Analyze and interpret laws, statutes and regulations, and identify potential areas of compliance, vulnerability and risk; partner with the appropriate business unit(s) in order to develop and implement action plans.
- Manage litigation and other high- risk matters, including the selection, retention and cost-efficient management of outside counsel, as well as related budgeting/spend.
- Provide legal guidance with regard to the Company’s internal Record Retention Policy.
Job Requirements:
- Strong academic record and J.D. degree from an accredited law school
- Member in good standing of at least one state bar, preferably Arizona
- 7+ years or relevant legal experience in a top-tier law firm or corporate law department, including significant Intellectual Property and international partnership, licensing and/or franchising transactional experience
- Confidence, professionalism, and well-developed interpersonal skills in order to interact with and advise high- level company officers
- Strong analytical skills, with the ability to think strategically and enterprise-wide
- Proven negotiation skills
- Sound business judgment
- Skilled at identifying, hiring, and supervising outside counsel in a cost-efficient manner
- Highly developed organizational skills in order to prioritize and meet numerous, critical deadlines
- A sense of humor is required
