Purpose of your role
The role will be an excellent opportunity for someone with at least 3 years company secretarial or legal experience gained within the financial sector. Reporting to the Senior Company Secretary, the job holder will have the responsibility of providing company secretarial and legal support to ensure the correct operation of the Luxembourg-domiciled Funds and companies within Luxembourg law and regulations and to enhance the corporate governance frameworks to keep in line with regulatory and structural changes.
The role will also involve working closely with other FIL departments in Europe, Asia and Bermuda including legal, fund accounting, compliance, finance, performance measurement and statistics and product development, as well as external advisers including auditors and legal advisers.
Your key accountabilities
- Ensure that FIL’s managed Funds and companies comply with applicable local laws
- Ensure the smooth running of the Funds and companies’ affairs including:
- coordinating and supporting the preparation for Board meetings and other statutory meetings
- reviewing agendas and resolutions to ensure they are accurately drafted, coherent and that Board papers have received the necessary internal business sign-offs and that these are complete, accurate and of high enough standard to present to the Board.
- ensuring timetables are followed
- providing accurate and timely information to other stakeholders in accordance with agreed deadlines
- Ensure all regulatory and legal filings are carried out within deadlines
- Ensure efficient process of all administrative tasks related to the corporate life of a company
- Participate in certain projects which impact Luxembourg domiciled Funds and companies
- Ensure that adequate corporate governance frameworks are in place
- Provide key man cover
Your skills and experience
- Very strong business English skills; fluency in French and/or German would be an advantage
- 3 years relevant experience as a company secretary
- Ability to work with a high degree of autonomy
- Knowledge of local laws and regulations
- Experience of dealing with investment funds
- Excellent communication skills
- Team player
- Good resistance to stress
- Excellent attention to detail
- Strong delivery focus and “can do” attitude
- IT skills – working knowledge of; Word, Excel, Outlook, Blueprint
