Essential Job Functions:

General duties include providing legal advice relating to the provision of investment management services to institutional clients, mutual funds, UCITS funds, collective trust funds, hedge and other private funds, high net worth investors, and separately managed account and other programs.

Duties may include: (i) drafting and negotiating client, vendor and other agreements; (ii) drafting, reviewing or editing fund offering documents; (iii) advising the Firm on legal issues that arise in connection with investment decisions, including the interpretation of account guidelines and restrictions; (iv) advising the firm in connection with new product and distribution initiatives; (v) assisting with the drafting and maintenance of written policies and procedures; (vi) maintaining current and accurate US and non-US regulatory filings (e.g., Form ADV); (vii) providing the Firm with expert analyses of proposed and newly adopted rules and regulations; (viii) participating in the preparation of responses to client and prospect inquiries, as well as participating in client and consultant meetings; (ix) generally assisting in the maintenance of an ethical culture of compliance.

Requirements:

A successful candidate will (i) have an expert understanding of the laws, rules, and regulations governing a global fixed income and equity asset management operation, (ii) provide prompt, professional service, (iii) produce outstanding written work, (iv) possess the experience and confidence to interact professionally with senior management, clients, and clients’ representatives, and (v) have a demonstrated track record of effectively solving problems to a successful resolution.

A successful candidate will have familiarity with: (i) the Investment Advisers Act of 1940; (ii) the Investment Company Act of 1940; (iii) laws and regulations governing the operation of UCITS funds; (iv) the Securities Exchange Act; (v) rules and regulation governing the operation of US broker-dealers; and (vi) ERISA.
