Role description:
- Structuring of all elements of private equity and debt financing transactions, focusing predominantly on private equity
- Termsheets preparation and negotiation
- Preparing materials and taking the project through internal approval processes such as credit committee and the Management Board (does not include economic analysis and modeling/commercial rationale)
- Selection of legal and other advisors
- Overlooking legal and other dd process
- Negotiating transaction documents
- Managing general transaction process
- Transaction closing, including looking after conditions precedents and conditions subsequent
Preferred experience/Skills:
- 4-8 years of working as a lawyer (with a law firm acting as legal counsel) or as an investment professional (investment banker / private equity professional) on both private equity/MA and financing deals.
- Understanding of risks and rewards matrix (both from commercial and legal, regulatory perspective) for a bank as principal in PE and financing deals as well as ways to mitigate risks through transaction structuring and documentation provisions
- Experience of preparing private equity/MA and financing deals termsheets, understanding commonly used structures, accounting, regulatory and tax implications
- Perfect understanding and wealth of experience negotiating SHA, SPA, disclosure letters, LMA loan documentations. A combination of corporate and finance lawyers skills is preferred
- Ability to lead a deal in all project management and execution aspects (including selecting and working with professional advisors)
- Experience of preparation for and presenting at project/investment/credit committees at a large organization
- Prefer significant experience with negotiating (English Law) transaction documentation
- Understanding of relevant Russian law provisions wrt private equity and financing deals is a plus
- Native/Fluent English and Russian is a must
