Associate (Director), Transaction Execution Group recruitment

1.  Drafting legal documentation in relation to the Bank’s debt management operations in international and domestic capital markets, including drafting of corporate approvals and coordination of workflow between internal and external parties.

1.1. Domestic borrowings:

–         Corporate bonds and commercial paper, including domestic bonds secured by pledge of assets, in particular – portfolio of mortgages

–        Asset securitization

1.2.        Foreign borrowings:

–        Eurobonds

–        Euro-commercial paper

–        Syndicated loans

–        Transactions with financial derivatives

–        Asset securitization

1.3.        Hybrid capital to support Bank’s capital adequacy:

–        Subordinated bonds/eurobonds

–        Perpetual bonds/eurobonds

1.4.        Buyback and/or prepayment of Bank’s outstanding liabilities.

2.        Ongoing maintenance of Debt Management transactions:

–        Maintain legal documentation database (maintain register of covenants, arrange for translation and/or legalization of documentation,  documentation flow with backoffice), including monitoring of compliance with covenants and adequacy of covenants to current market practice

–        Maintain schedule of corporate actions (coupon payments, redemptions, deadlines for notices)

–        Input transaction details into ABS Diasoft and verify accuracy thereof in the course of deal lifecycle

–        Correspondence with third parties including paying agents (receipt and verification of payment notices, setting of interest rates in relation to floating-rate instruments etc.)

3.        Administration of infrastructure for the debt issuance in the local and international debt capital markets.

4.        Participation in development and updating of internal regulations and manuals in relation to the department activities including inter alia internal procedures for (i) development and expertise of legal documentation and (ii) drafting of the prospectuses in relation to the Bank’s borrowings.
