Position Description:
Morgan Stanley Co. LLC seeks Associate, Gaming Coverage, Investment Banking in Los Angeles, CA to structure corporate finance transactions such as cross border mergers and acquisitions, private placements, financial planning, rating agency and road show presentations, joint ventures, proxy contests, restructuring, and recapitalizations in the Gaming Consumer Retail sector in support of Senior Bankers. Draft legal documents such as Letters of Intent, term sheets for securities including Preferred Equity and Mezzanine tranches as well as aide in negotiating business terms with prospective investors on behalf of our clients, including small, mid, and large-cap companies. Assess strategic and suitable financial options based on business context using financial modeling, specifically project finance and construction cash flow models, which require understanding disbursement agreements drafted for specific project. Assist in the execution of financial transactions by performing transaction due diligence (including creating and running day-to-day logistics of a data room), leading operating site inspections alongside clients, and reviewing financial and corporate materials to assess and determine financial risk, with respect to financial and business analyses including valuation (discounted cash flow analysis, comparable company analysis, precedent transaction analysis), returns analysis, merger accretion-dilution, financing options and leveraged buyouts. Deliver client presentations and management and Board of Directors presentations. Provide industry knowledge and insights to internal and external stakeholders. Mentor and train Analysts/Summer Analysts given previous quantitative financial background. Conduct financial and industry research using tools such as Bloomberg, Capital IQ, Factset, Excel, Thomson, equity research, and credit reports (for sell-side information memorandum and fairness opinion materials).

Skills Required:
Master's degree in Finance, Business Administration, or related field or equivalent, and two (2) years of Investment Banking experience, conducting business and financial analysis on behalf of a global financial services institution. Prior experience must include advising and executing crossborder MA transactions for companies in the Gaming Leisure as well as Consumer Retail sectors including small, mid and large-cap companies; conducting industry and company research using Factset, Capital IQ, Bloomberg, Microsoft Excel, Thomson, equity research and credit reports; building financial models for valuation (discounted cash flow analysis, comparable company analysis, precedent transaction analysis), returns analysis, merger accretion-dilution, financing options and leveraged buyouts; and developing client presentations, management and Board of Directors presentations, sell-side information memorandum and fairness opinion materials.
