The position is responsible for managing and communicating the Company’s ethics compliance program, including developing and implementing an ethics compliance program appropriate for the company’s size, industry, culture and compliance obligations, in order to detect and prevent misconduct and foster a culture of compliance and ethical behavior. In addition, the position provides legal advice and support to Company management and the Human Resources function regarding all areas of employment, labor, compensation and employee benefits law both in the United States and globally, in order to assess and control related legal risks, advise on potential courses of action and implement best practices.

Primary Responsibilities:

 

Compliance

§  Responsible as Director of Compliance for the day-to-day management and leadership of the Office of Ethics Compliance, reporting directly to Chemtura’s Chief Compliance Officer

§  Provides guidance to Company management on compliance with applicable laws, risk mitigation and on other ethics compliance issues

§  Establishes, implements and maintains compliance policies and procedures, including the Code of Business Conduct, in order to detect and prevent unethical, improper or illegal behavior and foster a culture of compliance and ethical behavior

§  Develops, implements and maintains processes and procedures for administering and supporting the Chemtura Resource Line, the Code of Business Conduct and other ethics compliance program resources, including

o    Tracking employee and other stakeholder complaints made through the Resource Line and other ethics compliance program resources

o    Conducting internal investigations, inquiries and assessments

o    Developing appropriate metrics to measure the effectiveness of the Company’s ethics compliance program

o    Periodically reviewing and revising the ethics compliance program in light of regulatory changes and the needs of the company

o    Advising and leading meetings of the Chemtura Business Practices Council

o    Developing and administering ethics compliance training, on line through Chemtura’s Ethics Compliance Learning Center on a quarterly basis and in person as needed

o    Reporting to the Chief Compliance Officer, the Executive Committee, the Audit Committee, and the Business Practices Council on the status of internal investigations, the effectiveness of the Chemtura Resource Line and other ethics compliance program resources and recommendations for program improvements

o    Communicating expectations and responsibilities with respect to the ethics compliance program and the Code of Business Conduct to all employees, agents, joint venture partners and other stakeholders, as appropriate

 

 

Employment and Benefits

§  Provides advice and counsel regarding compliance with applicable laws and regulations, including the FMLA, USERRA, national, state, provincial and local employment discrimination laws, ERISA, the FLSA, the NLRA, WARN, and day-to-day human resources issues, including equal pay, wage and hour, benefits eligibility, contingent workers, affirmative action and diversity, immigration, reductions in force, drug-free workplace,  industrial  and labor relations, employee discipline and termination, whistleblower laws, and wrongful discharge

§  Provides advice and support in administering executive, equity-based and deferred compensation plans, programs and arrangements

§  Selects and manages outside counsel for all in scope matters other than formal litigation

§  Provides primary support on all subject matter related administrative and agency hearings and other quasi-litigation matters

§  Provides subject matter support to the litigation team on all formal litigation

§  Prepares employment, severance, consulting, non-competition, confidentiality, vendor and other subject matter related agreements, policies and procedures

§  Advises on the employment, labor, compensation and employee benefits implications of acquisitions, divestitures and other corporate transactions

§  Provides subject matter training to the HR team and other internal clients

§  Advises on employee benefits matters, including plan design, plan interpretation, regulatory changes, periodic filings, and government inquiries and audits

 

Job Requirements:

§  Must possess a J.D. and at least 8 years experience in roles of increasing responsibility, in a high performance environment, in all areas of substantive responsibility

§  Must be a member in good standing of a state bar, Connecticut admission preferred

§  Prior experience in both a top-tier law firm and in-house

§  Must have strong working knowledge of the Sarbanes-Oxley Act, the US sentencing guidelines, and other US federal and state government regulatory ethics and compliance related requirements applicable to US publicly-traded corporations. Strong knowledge of non-US labor and employment laws and FCPA preferred

§  Must have experience with all phases of labor-management relations, litigation of employment-related matters, administrative and agency claims, negotiating and drafting various employment contracts and agreements, including non-competition agreements, executive contracts and severance packages

§  Substantial experience with US benefit plans and programs, including medical, dental and other welfare benefit plans and defined contribution plans required. Non-US employee benefits experience preferred

§  Experience with defined benefit and other pension plans strongly preferred

§  Experience with compensation plans and programs, including bonus plans, change in control agreements, non-qualified deferred compensation arrangements, stock option and omnibus equity plans preferred

§  Must have the ability to work independently and interact successfully with all levels of management in a professional and positive manner

§  Must possess excellent legal writing skills, oral communication skills and strong project management skills

§  Must have the ability to set and meet multiple priorities, have the initiative to take on new challenges and the ability to work in a dynamic and sometimes ambiguous environment
