Associate Transaction Manager recruitment
Responsibilities include:
- Appoint, co-ordinate with, and otherwise manage external Trustee legal counsel.
- Co-ordinate and manage the review and negotiation of transaction legal documentation for Trustee role and any other roles falling to London TM.
- Where necessary liaise internally with Coverage, Luxembourg (Transaction Managers, Account Managers and Operations) or other branches to facilitate documentation review and deal closing.
- Where necessary liaise externally with Arrangers, Originators, Issue’s, other deal parties and their legal counsel(s) to facilitate documentation review, negotiation and deal closing.
- Liaise with clients during the set-up phase of a new transaction, ensuring that client satisfaction is fully achieved.
- Ensure that client/deal requirements are clearly reflected in transaction documentation
- Ensure that legal and commercial terms of transaction agreements reflect the required language and standards of TrustCo and/or other areas of the business.
In addition the Associate Transaction Manager will also:
- Ensure all covenants, obligations and responsibilities contained in legal documentation to which the business is party are identified and passed to the Trustee Administrator via Trustee Diary Checklist for input to the Diary Management System.
- Complete all necessary deal and documentation checklists, registers and records and ensure transaction closing is properly documented and recorded in our systems and that adequate controls and procedures are created.
- Arrange for the opening of custody and/or cash accounts and provision of corporate documentation for compliance and KYC purposes.
- Shadow, assist and support TMs with deal transaction management as required.
- Support CTS by undertaking non-trustee related transactions such as escrow, asset protection and other matters such as programme updates
Requirements
- You will be legally trained or have experience in transaction management within corporate trusts.
- You will have knowledge of UK contract law and UK equity and trust law.
- Must understand the role of the trustee in debt capital markets
