Position Description:
Counsel within Company Law assisting Corporate Treasury and Financial Reporting team on the following matters:
• Counsel to Corporate Treasury in connection with worldwide corporate finance activities, including the Firm's securities programs in the global markets, both structured and unstructured (including SEC-registered, Rule 144A and Regulation S), MTNs and Guarantees
• Interaction with sales and trading desks worldwide in equity, fixed income and commodities on development of structured products
• Assistance on Treasury matters related to the Board of Directors and Committee meetings, including preparation of meeting materials and resolutions for Audit Committee
• Advise regarding corporate disclosure, including investor presentations and meetings and press releases and internal presentations
• Advise on Firm's SEC Disclosure, including Annual Report on Form 10-K, Quarterly Reports on Form 10-Q and Form 8-Ks
• Assist with coverage of general corporate matters, including mergers acquisitions and other strategic initiatives, issues affecting the firm's senior management and directors, subsidiary management, and Sarbanes-Oxley and NYSE matters
• Assistance with certain of the Firm's disclosure to the Federal Reserve, including Form FR Y-6 reporting
