Position Summary

Under general supervision of the division lead attorney, provides legal advice and assistance to Corporate and subsidiary management relative to the Company’s business activities, keeping the business within the limits prescribed by law and corporate policy. AmerisourceBergen’s legal associates have an important impact on business operations by protecting the Company’s interest from a legal perspective, as represented by the accuracy of advice given and propriety of decisions made on the Corporation’s behalf.

Primary Duties and Responsibilities

  1. Prepares and examines contracts involving key items such as leases, licenses, purchases, sales, and insurance; reviews, draws up and negotiates such contracts to ensure that these contracts accurately express the Company's objectives.
  2. Appraises and keeps management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of AmerisourceBergen.
  3. Anticipates and guards against legal risks involving the Company.
  4. Represents the Company in litigation and other dispute resolution proceedings and before various governmental agencies.
  5. Reviews and approves advertising copy and public statements from a legal perspective.
  6. Provides legal advice to the organization with respect to corporate administration, prepares resolutions and forms, and participates in major legal actions regarding credit and finance matters.
  7. Develops workflow processes to ensure Company is compiling with contractual deliverables and obligations.
  8. Responsible for foreseeing and protecting the Company against legal risks.
  9. Works closely with executives and key associates of the Corporation and its subsidiaries on matters relating to the legal affairs of the Company.
  10. Participates in business development meetings and strategic planning meetings to ensure contractual obligations are in the Company's best interest and no conflict of interest or other issues exist.
  11. Performs related duties as assigned.
Experience and Education Requirements

Requires broad training in fields such as business administration, accountancy, sales, marketing, computer sciences or similar vocations generally obtained through completion of a four year Bachelor's Degree program, technical vocational training, or equivalent combination of experience and education. Normally requires five or more year's progressively responsible and directly related experience in large firm. Law Degree - must be a graduate of an accredited law school and admitted into the state bar.

Minimum Skills, Knowledge and Ability Requirements

  1. Familiar with a variety of the field's concepts, practices and legal procedures
  2. Working knowledge of corporate law including SEC regulations and document preparation, litigation, anti-trust laws, nuisance law, court and regulatory agency (FTC and FDA) procedures, and contract negotiation and preparation
  3. Relies on extensive experience and judgment to plan and accomplish goals
  4. Ability to communicate effectively both orally and in writing
