Commercial Administrator/Contract Paralegal
General
*Focus on commercial contracting for sale of manufactured products, primarily in the U.S. and Canada
*Support from Legal on Canadian contract issues, U.S. contract issues and global organization on issues re: other countries
*Located in Toronto
*Reporting directly to the Commercial Counsel Local Compliance Officer
Overview
1) Contract review and negotiations:
*Assist Legal in the timely review of Supply contracts in support of bids and proposals to customers
*Address exceptions raised to standard contracts by customers
*Identify any issues that require escalation to management as part of internal corporate guidelines
*Identify any other business, commercial and legal risk issues and escalating when necessary to management
*Assist with completing risk assessments and Limits of Authority approval requests when necessary
*Assist in the preparation of mark-ups of contracts or Commercial Exceptions Log and make recommendations on how issues should be addressed to mitigate exposure and corporate liability
*Participate in negotiations with customers under the supervision of the Commercial Counsel Local Compliance Officer
*Identify and assist in the development and implementation of strategies to develop contract standardization and Master Purchase Agreements
2) Contract management support:
*Support implementation of contract management process
*Responsible for maintaining contracts management database
*Responsible for completion of internal documentation supporting contract review
3) Skills:
*The candidate must be either a Paralegal or IACCM member
*Excellent organizational and people skills, drafting and negotiations skills and sound business judgment
*Ability to multi-task and work in a fast paced environment both independently or a part of a team
*Preference will be given to those with sales-side commercial contract experience in the energy sector or manufacturing industry
*Candidate must be available to start immediately
