Company Compliance Officer (Vice President / Executive Director)
Position Description
The Legal and Compliance Department's UK Company Compliance Group, which is based in London, is charged with day-to-day oversight and coordination of core central compliance functions covering all businesses including Institutional Sales and Trading, Private Wealth Management Business, Investment Banking and Investment Management across the EMEA region.
Primary responsibilities will involve providing compliance coverage for the Firm's client assets and outsourcing processes.
Additionally the candidate will be involved in day to day oversight of all aspects of the wider Company Compliance responsibilities including client take on, voice recording, fund administration, employee trading, Outside Business Interests, policies procedures and training. The candidate will report to the Head of Company Compliance for the EMEA region.
The candidate will have a good understanding of the various aspects of the Central Compliance function including but not limited to:
• UK Client Assets protection, either from a regulatory or operational perspective;
• Compliance oversight of an Infrastructure area including Operations, Finance or Technology;
• Regulatory obligations in relation to outsourcing;
• Client take on, client categorisation and regulatory disclosures;
• Regulatory obligations in relation to voice recording and record keeping;
• Registrations, Employee Trading and the monitoring of outside business interests;
• Compliance training and oversight of compliance policies and procedures.
The candidate will have a detailed understanding of the FCA Client Asset and Conduct of Business Sourcebooks as well as familiarity with FCA Approved Persons Regime, Senior Management Arrangements, Systems and Controls.
This role within Company Compliance will entail working closely with other professionals in the Legal Compliance Department, providing coverage to the Morgan Stanley EMEA businesses and support functions and drawing upon the general resources of the Firm.
As part of the day-to-day responsibilities, the candidate will:
Advice and Interpretation
Provide oral and written advice to the Morgan Stanley businesses and support functions on compliance policies and procedures and relevant UK and international laws, rules and regulations. Such advice may be general in nature or specific, for example, to transactions, new business initiatives, ordinary course of business enquiries and exceptional situations.
Implementation of New Policies and Procedures
Assist in the implementation of new policies and procedures or, as appropriate, the update of policies and procedures in response to, or in anticipation of, relevant rule changes and new legislation, new exchange and clearing memberships or trading models.
Strategic Projects and Initiatives
Participate in strategic projects and initiatives with other legal and compliance professionals relating to the central compliance function, including participation on new product committees where appropriate.
Training
Delivering the ongoing programme of training to the Morgan Stanley businesses and support areas on a broad array of compliance and regulatory issues.
Desk Reviews and Test Checks
Management of an ongoing programme of desk reviews and test checks covering core central compliance responsibilities, including risk based prioritisation, review/test check design, implementation and documentation of results and completion of action items.
Consultation Documents/Comment Letters
Participate in internal and external industry discussions and assist in the drafting of responses to initiatives from regulatory bodies and exchanges.
Skills Required
• Previous experience in financial services with a leading bank, securities house, regulator or consultancy practice in an operational, control or compliance function. The ideal candidate may have 8+ years' experience in a similar role.
• Solid knowledge of a central compliance function (specifically client assets but including client take on, outsourcing, approved persons regime, senior management systems and controls, registrations, employee trading).
• Professionally mature and articulate.
• A proven track record in managing individuals.
• Good analytical and numerical skills.
• Good communication skills in order to present views to senior management and to explain technical requirements.
• Ability to remain focused under pressure.
• Detail oriented and good memory skills.
• Ability to perform multiple tasks simultaneously.
• Degree educated or equivalent.
