Duties and Responsibilities
Company Secretarial Matters
- Provision of advice and expertise on all company secretarial and corporate governance matters
- Preparation, scheduling, attendance, minute taking and follow-up matters for all Board and Board sub-committees meetings.
- Maintaining all Company Statutory records.
Regulatory, Compliance and Corporate Governance
- Ensuring that the Companies have proper and compliant set of internal procedures, guidelines with regard to all legal, compliance, corporate governance and regulatory matters.
- Supervise and guide the Compliance Officer in fulfilling the various compliance obligations that affect the Irish companies, from the company .
- Reporting on compliance and corporate governance matters, as required
- Implementation of corporate governance code and all updates to same
- To train and update staff on regulatory changes
Legal and contractual
- General advice on various legal issues (Company Law, HR, Health and Safety, Data Protection, AML, etc) that arise in Ireland for the Irish Group, liaising with local advisers etc.
- Contracts:
- To check general contracts with Irish suppliers (i.e. IT Service providers, Local Insurance contracts, Lease, Service Agreements etc.)
- To review reinsurance Treaties, in liaison with the Underwriting and Actuarial Departments and to advise as necessary.
- As required by the company’s Legal Department, to participate in discussions regarding technical contracts.
People Management:
- Responsible for development of the team members including broadening their experience and competence and providing on-going coaching and feedback.
- Responsible for workload planning, organisation and management and for ensuring that reporting deadlines are met locally, internationally and at group level.
- Responsible for implementation of Performance Management Systems.
Interface:
- Board members executive and non-executive
- Internal and External auditors
- Dublin Management Team and Insurance Division in France (Administration and other services)
- Chief Risk Officer based in Paris
- Irish and European Regulator, Market bodies, Law firms, Suppliers, Service Providers
Profile:
- Proven management and organization skills.
- Relevant university degree or equivalent
- Excellent communication skills
- Preferably a legal background with experience in International Insurance Sector
- Minimum 10 years of experience in legal and compliance matters
- Proactive and highly organized with the ability to work autonomously
- Highly motivated with the ability to maintain the highest standard of work at all times
- Confident and Professional manner
- Team orientated person with good interpersonal skills
- English fluency is necessary.
- A good command of French is essential
