Working in a niche financial services business this role presents an excellent opportunity for an individual looking to return to work after an absence from the work force, or some one looking for a more flexible working arrangement.
Key Responsibilities:
- Reviewing all legal documentation, assisting in negotiations and minimising use of external counsel
- Contract management (documenting a manifold of all existing contracts, familiarising with terms etc)
- Executing the companies compliance function including maintaining the compliance manual, running various compliance related routine reports, preparing annual compliance reports to ASIC and the Board
- Liaising with ASIC as required
- Drafting and facilitating any changes to company documentation including Operating Rules, Shareholder and Participation Agreements
- Company Secretarial administration (change of officeholders, charter administration for various board sub-committees, minuting board meetings)
- Reviewing and maintaining the Company’s general policies and procedures
- Attending all Board, sub-committee and working group meetings – preparing agendas, taking minutes and distributing as required
Experience:
- Previous compliance, middle office or risk management experience
- Legal or paralegal experience in an investment bank or similar
- Experience liaising with regulatory authorities a benefit
- Company secretarial
- Strong documentation skills
