The Business
Towers Watson Capital Markets (TWCM) Inc., is a wholly owned subsidiary of Towers Watson that advises clients in the areas of risk-linked securities, retirement risk transfer transactions and asset risk management services, including evaluating and facilitating risk management solutions involving securities and other capital market instruments.
The Role
Towers Watson Capital Markets Inc. is a FINRA-member broker dealer. Working together with its sister company, FSA-member Towers Watson Capital Markets Ltd., its main focus is the insurance-linked securities sector, including but not limited to, cat bonds and ILWs. Though the person would interact with many people across the organization, the individual would form part of small, commercially-focused team. The team has built a successful track-record and reputation for innovative cat bonds. The business executes in both primary and secondary markets.
Responsibilities
Assist the Chief Compliance Officer in maintaining broker-dealer compliance programs and positioning TWCM for growth
Functions include:
- Maintaining compliance programs including Written Supervisory Procedures, Supervisory Controls Program, Anti-money Laundering Program, Firm Element Continuing Education Program; and Business Continuity Plan
- Maintaining FINRA licenses and registrations
- Liaising with external auditors; participating in regulatory exams
- Conducting compliance tasks including email and personal trading monitoring, supervisory controls testing and verification, conflicts of interest approvals
- Coordinating with all internal relevant control functions, such as legal and finance
- Establishing new entities required for growth of the business, which may include creating funds and/or working with joint venture partners
- Supporting other functions (and potentially serve as gate-keeper) that need access to the broker-dealer
Mid and Back Office
- Responsible for all mid and back office roles, including customer account documentation and trade execution, including:
- Carrying out "know your customer" and money-laundering checks
- Engaging and working with primary issuance settlement agents to settle private placement bond issuances
- Clearing and settling secondary market trades through Pershing's Net-X 360 system
Finance and Legal
- Reviewing and filing quarterly FOCUS and SSOI Reports and other periodic required reports through FINRA's various e-filing applications
- Reviewing articles, weekly trade commentary, press releases and other general marketing materials
- Reviewing deal-related written materials, especially as it pertains to new issuance
- Ensuring necessary disclaimers and other protections are in-place
- Engaging and managing external counsel
- Reviewing various agreements, including but not limited to, reinsurance agreements, bond and trust documents, ILW confirmations, JV and fund related documents
Other
- Report to the CCO/COO
- Chair periodic Capital Markets Executive and Operating Committee meetings
- Serve as FINRA Executive Representative
- Serve as Corporate Secretary
- Key member of transaction team
The Requirements
- Broker-dealer experience
- FINRA Series 24
- Legal background
- Strong familiarity with fixed income capital markets
- Knowledge of control functions
- Capable of working in small, commercially focused teams
- Experience with insurance-linked securities (ILS) or structured finance preferred
- Knowledge of Investment Advisor regulation preferred
- FINRA Series 27 preferred, but not required
