Description
Support attorneys in the legal department in contract negotiation, draft control and input of redline comments on agreements. Recommend and implement solutions for potential standardization and improvement of the contract review process. Independently prepare and send forms of contracts and amendments. Maintain a tracking system for processing contracts. Responsible for gathering, tracking, scanning and cataloging executed agreements for the firm. Act as liaison between the business clients and the attorneys to assist in the negotiation of agreements and the completion of legal projects. Proof all negotiated agreements for version control and accuracy. . Coordinate, reconcile and catalog all documents stored in the file room. Responsible for keeping all written policies and procedures and supervisory procedures current. Review and negotiate agreements with the supervision of attorneys. Adhere to and conform with all corporate policies and code of conduct. Stay abreast of and apply prevailing industry standards, requirements and regulations in work product. Confer with business clients and attorneys on questionable contract terms. Incumbent will recommend solutions to complex problems with moderate leadership involvement. Incumbent's work quality, business analyses, and negotiation skills have a direct and significant impact on the legal work product. Incumbent typically addresses issues of moderate complexity which require solid judgment and accuracy. Working within department guidelines, incumbent must apply an advanced level of creativity and judgment in order to effectively manage workload, projects and contract flow. Typically, the incumbent will interact with senior attorneys and business clients on various contracts and legal projects.
Qualifications
Bachelor's Degree
6 yrs minimum experience Experience as a paralegal in a law firm
Strong business analysis skills and advanced experience with negotiation principles
Must possess advanced knowledge of contract terms, conditions, and legal ramifications
Must possess strong project management skills
Must have proficiency in spreadsheet, database and word processing applications
Must have an in-depth understanding of applicable regulations, requirements and standard for the industry
Must be forward-thinking and able to forecast future business needs and opportunities
Must possess excellent verbal and written communication skills
Must have the ability to convey a reasoned, technically accurate position to both internal customers and attorneys, in a clear, concise and convincing manner
Must display tact and diplomacy during contentious negotiation
