Primary Objective(s)
The Contracts Counsel position will report to the Manager of Government Contracts. The position is 1) responsible for growing segment revenues through strategic analysis and preparation of TR Legal bids in response to government-issued Requests for Proposals, Invitations to Bid, as well as other informal bidding opportunities; 2) responsible for supporting print/data/software/technology customer contracts for TR Legal, and; 3) responsible for the management and administration of customer contracts. With respect to the preparation of TR Legal bids, the position will serve to coordinate and lead the preparation of bids that represent cohesive, company-wide responses, integrating the input of field operations, and all internal departments and entities. The position also requires growth of existing segment revenues through strategic management and administration of TR Legal's government contracts with federal, state and local government agencies, such as Federal Schedule contracts (GSA, FEDLINK), Westlaw contracts (IRS, DOJ, Administrative Office of the U.S. Courts), Publication contracts (reporter, statutes, administrative codes), and license agreements (data provision agreements). With respect to the support of customer contracting for Law Firm, Government, Corporate and Academic customers, the Counsel will draft, negotiate and approve custom contracts for the purchase of print/data/software and technology product lines from US Law Firm, CGIE, BOL, and GRC.

Key Responsibilities
- Lead in the Analysis and Preparation of TR Legal Bids for Government Contracts (40%):
- Financial and strategic analysis of government bidding opportunities. Analysis will require detailed understanding of bid specifications, centralized coordination of field intelligence, the gathering and analysis of financial and account information; and securing competitive intelligence and background information;
- Compilation of TR Legal responses according to government requirements.
- Customer Contract Legal Support (30%):
- Create, draft and support content, data, software and technology agreements
- Negotiate and approve customer requested contract modifications
- Modify existing agreements to support the execution of internal marketing and sales promotions and programs.
- Contract Management and Administration Responsibilities (30%):
- Requires effective contract management and administration, with an emphasis on revenue growth.
- Analyze and draft new governmental contracts, amendments, renewals, data licenses,
- and letter agreements
- Negotiating pricing increases, and contract amendments that integrate new revenue opportunities.
- Utilize the Segment's electronic contract management system (PROLAW).
- Assist in contract negotiations with procurement officers and government agency representatives
- Coordinate the communication of critical contract information across departments within TRP Legal
- Maintain contract records and documentation
- Assist in the initiating corporate wide implementation of contracts, renewals, and amendments
- Understand and advise on federal and state procurement laws and regulations, and provide support to government field representatives
- Assist in management of internal federal contract compliance programs
- No direct reports, however, the success of TRP Legal's bid responses and customer contracting is dependent upon the ability of counsel to gather critical information from internal departments and field operations. Ability to motivate and mobilize interdepartmental teams to provide necessary input is crucial to the achievement of departmental goals.
- Responsible for managing and mitigating legal risks for TRP Legal. Responsible for growing government revenue through the successful pursuit and retention of key government contracts.

Qualifications, Experience, Knowledge and Skills
- J.D. required; and current attorney licensure required
- Experience in the legal publishing industry preferred. A minimum of 3 years experience in the legal information industry, customer contracting, government contracting and/or procurement contracting. Prior experience drafting and negotiating customer/vendor contracts is required. Experience responding to RFPs for print/electronic legal information, drafting data and software license agreements, master agreements, and NDA's, and experience in government relations and project management is preferred. Contract administration and federal contract compliance experience a plus.
