Coporate Governance Legal Assistant Job in Houston 77002, Texas US

Legal Assistant to provide support to the Corporate Secretary and Assistant Secretary in matters relating to the maintenance of subsidiary corporations and administration of the company’s stock plans.  Responsibilities include performing a variety of legal and administrative tasks, including:

• Maintain domestic and foreign subsidiary corporations, including drafting of routine resolutions, preparing incorporation and qualification documents and  secretary certificates, and coordinating legalization of documents for use in foreign jurisdictions.
• Maintain subsidiary minutes and files, including indexing of minutes and distribution of minutes and reorganization documents to internal departments.
• Prepare all documents or coordinate the preparation of documents for the holding of annual shareholder meeting minutes for foreign and domestic subsidiaries.
• Independently update and input information into legal entity management database.
• Prepare and distribute reports relating to the company’s outstanding equity securities.
• Serve as a liaison to the transfer agent and respond to routine shareholder inquiries.  
• Assist in the administration of the company’s stock option plan, including preparing periodic reports for accounting, human resources and tax departments, maintaining stock option database, tracking disqualifying dispositions, and coordinating issuances of shares with the transfer agent.
• Prepare and file Section 16 reports with the Securities and Exchange Commission.
• Independently administer director compensation, including preparing quarterly and annual reports to the accounting department and to the directors.

The position requires a Bachelors degree and 5-7 years legal assistant experience with a solid understanding of stock plan administration and corporate governance matters.   
Paralegal certification is a plus. 
The ideal candidate for the position must possess excellent oral and written communication skills and be able to perform tasks with minimal supervision. 
The ability to prioritize multiple tasks, take initiative and meet deadlines is essential. 
The candidate must have a high level of efficiency and accuracy in dealing with detailed work. 
Familiarity with stock plan administration and legal entity management software is preferred.
