CORPORATE ADMINISTRATION AND TRANSACTION MANAGEMENT (M/F) recruitment

About our client:
Our client is an established German corporate services provider currently mandated to provide corporate services to SPVs (Special Purpose Vehicles) engaged in structured finance transactions. The portfolio has an emphasis on real estate transactions.

Description:
- Co-ordinate the corporate administration of currently 80+ German companies, including the establishment, ongoing statutory, legal and contractual obligations and dissolution.
- Assist the directors in managing existing transactions, including liaison with transaction parties, structural changes, amendments to documentation, transaction default and termination processes.
- Identify, record, and manage all statutory and transaction covenants and obligations of the SPVs.
- Assist in the drafting of certain documents including articles of association, shareholder and directors resolutions, powers of attorney, certificates, notices, corporate services agreements, fee letters, loan agreements in accordance with precedents and procedures.
- Assist the directors with the review of transaction documents, financial statements, and reporting.
- Provide pre-defined cash administration services, including setting up and processing payments, monitoring and reconciling cash movements, preparing and updating procedures and meticulous record keeping.
- Keep relevant information systems and management databases up to date.
- Review invoices in accordance with fee letters and assist with financial control.
- Dealing with ad hoc transaction enquiries and/or relevant correspondence.
- Record time spent on relevant activities for client billing purposes in accordance with procedures.

Candidate profile:
- Knowledge of corporate administration of German companies would be preferred.
- Experience of securitisation and structured finance transactions would be an advantage.
- Excellent German and English communication skills, both oral and written, and a high level of interpersonal skills, giving the ability to work with all levels, both within and outside the company.
- Excellent organisational skills, attention to detail, and analytical skills.
- The ability to balance competing priorities and meet deadlines within the context of a demanding workload.
- A demonstrable ability to understand, consider and discuss complex securitisation and structured transactions.
- The ability to work independently, and to work effectively as part of a team, both within transaction management and in a multi-disciplinary setting.
