Corporate Counsel

We are looking for a entry-level licensing attorney for our in-house legal department.

We are looking for an individual who loves a fast-paced business environment, is detail-oriented, independently motivated, and has the confidence and ability to interact with clients and co-workers in a professional, approachable, and positive manner.

Responsibilities will include:

. Drafting and reviewing licenses and other agreements, term sheets, and related documents in support of commercialization efforts.
· Leading and participating in negotiations of customer agreements.
· Creating and maintaining contract templates as necessary.
· Researching and developing custom contract terms to support licensing objectives.
· Remaining current with the state of the law affecting licensing strategies and recommending/developing adjustments as required to support current and future business.
. Collaborating with the finance, operations and science teams to ensure contracts are drafted appropriately.
· Advising the company on contractual obligations.

Key qualifications:

  • Licensed attorney
  • 1-2 years of in-house or law firm experience in corporate or IP licensing transactions.
  • Broad-based experience in supporting a contracts function, and drafting and reviewing license agreements.
  • Ability to communicate information effectively, both orally and in writing.
  • Ability to work well with others and to quickly assimilate and understand information.
  • Capacity to proactively isolate and prioritize issues and to focus on implementing both top-level, strategic solutions as well as the day-to-day initiatives.
  • Self-starter with strong problem-solving skills.
