Position Description:

SunGard serves more than 25,000 customers in more than 50 countries, including the world's 50 largest financial services companies.
We are looking for a commercial lawyer to join our legal shared services department.

Role will involve supporting the legal needs of the SunGard software solutions businesses in EMEA, which includes SunGard's Financial Systems, Public Sector, Availability Services and Higher Education Systems supporting a workforce of around 4000 people across 27 countries.

This is a broad based in-house legal role, with responsibility across the spectrum of internal legal advice, to all aspects of the business

The EMEA legal team comprises of 10 Lawyers alongside 5 support staff.

Responsibilities;

• You will assist and/or be the key point of contact for negotiations of customer deals, including managed services agreements, outsourcing deals, software licensing, implementation and support agreements, and ancillary documentation, and draft the necessary agreements.
• You will be exposed to deals with governmental agencies and major international third party partners.
• You will draft and negotiate general commercial contracts, including confidentiality agreements, partner/referral/distribution agreements, and consulting services agreements.
• You will deal with customers both internally and externally (in particular governmental agencies at a central government and local government level) across all levels including senior management.
• You will provide insight on issues which merit further due diligence by in-house lawyers, external counsel and business teams.
• You will advise business teams on issues of reputational risk pertaining to products, services, systems, transactions, clients, counterparties, business relationships and accounts.
• You will be responsible for ensuring that risks / issues are escalated to the correct internal stakeholder where appropriate.
• You will be responsible for supporting relationships with engaged external counsel alongside supporting other lawyers based in EMEA.

Position Requirements:
Proven Post qualification experience.

Candidates should ideally demonstrate all or some of the following:

Essential Skills;

• Currently working in private practice with a top City firm and/or working in-house for a multinational corporate.
• Background in a range of commercial agreements (ideally software licenses, confidentiality, distribution agreements)
• Experience at handling and negotiating contracts with large multinational corporates, banks, financial institutions or governmental agencies
• Ability to multi-task and prioritize work flow based on the company's commercial priorities and strategic goals
• Appreciation for a fast paced work environment and variety of work; commitment to excellence in service in a high growth, aggressive business environment
• Presence and ability to successfully interact with executive and senior managers, staff, operations and sales personnel from corporate service groups and business units

Desirable Skills;

• Experience of technology transactions such as software licensing transactions, application service provider transactions, source code escrow agreements, order routing transactions, brokerage transactions and consulting services agreements.
• Familiarity with implications of multinational IT and data processing agreements and other transactions that have cross-border implications (data privacy, technology import/export, commercial taxation)
• Familiarity with the financial services regulations
• Ability to work with commercial business units and corporate service departments (Legal, Finance, Human Resources, Tax, Treasury) to ensure appropriate risk analysis and transaction structuring
• Familiarity with US GAAP / revenue recognition rules
• Strong professional ethics
• MS Office skills
• Ability to influence senior management
