Corporate Governance Manager (Corporate Services Americas)
Responsibilities
The Corporate Governance Manager will be responsible for providing a focal point for communication with the Corporate Services Americas (CSA) Leadership Team in order to occupy a key role in the administration of critical corporate matters. Responsibilities include corporate governance issues including arranging meetings for corporate boards such as the Vendor Oversight Committee and RBSA Security Committee. The role holder will keep minutes of meetings as well as maintaining corporate records and preparing reports required by regulatory bodies. The incumbent should have a thorough understanding of the business and knowledge of corporate risk frameworks.
Responsibilities will include (but will not be limited to):
- Managing meeting production calendar for CSA owned boards coordinating with parent boards to ensure consistent flow of agenda items.
- Coordinating the production, printing, mailing and timely delivery of board material and regulatory state/federal filings
- Attending, when appropriate, Board and Committee meetings. Organizing and creating materials in connection with Board and Committee meetings that include minutes, agendas, resolutions, Board memos and supporting documents.
- Overseeing the Board book post meeting production in unison with senior management. Managing post Board and Committee meeting follow-up items to ensure compliance
- Interacting extensively with senior management, counsel, auditors, regulators to ensure accurate and timely delivery of all board materials and state/federal filings.
- Managing the preparation, production and distribution of Board and Committee Meeting materials.
- Managing daily inquiries/operations of assigned boards
- Participating in special projects in furtherance of goals of Corporate Services as well as the company-wide vision.
Corporate Services, which is comprised of Business Resilience, Corporate Security, Procurement, and Property is one of the three large- scale functions in Business Services next to Operations and Technology Services. It is a global team with people working in more than 30 countries. In the Americas, there are more than 350 colleagues working together to be the business behind the business for RBS Citizens Financial Group.
Qualifications
Required Skills/Experience:
- Demonstrated experience working independently to deliver high quality work presentable to senior executive audience
- Strong organizational, communication and planning skills
- Tremendous interpersonal skills to interact with project teams and multiple departments and vendors to achieve project objectives.
- Excellent drafting skills, including resolutions, minutes, correspondences
- Must have strong MS Office skills including MS Word, MS Power Point, and MS Excel.
Preferred Skills/Experience:
- Experience working with and supporting Board of Directors or equivalent
- 1 -2 years of previous Legal, Risk and/or Audit experience prefered
Educational, Certifications and/or Other Professional Credentials:
- Completion of Bachelors Degree in Business Management, Legal or related curriculum preferred
Hours and Work Schedule
Hours per Week: 40
Work Schedule: Monday-Friday 8:00AM-5:00PM
