Corporate Governance Manager recruitment

The Corporate Governance Manager will be part of the Corporate Governance Function, reporting to the group Corporate Governance Officer (CGO).

His main responsibility will be to provide support to the Corporate Governance Officer in the implementation and continuous improvement of the governance framework, including building and sustaining business processes related to governance.

The role involves a very high exposure to the Senior Management of the organisation.

Responsibilities:

The CG Manager will work on 3 main topics :

Governance:

making sure that the Corporate Governance Framework is clearly understood by all legal entities.

Provide training to senior and regional staff on the company’s Code of Business Conduct as well as Anti Corruption and other trainings that can be relevant.

Risk management:

Risk reviews: assist in undertaking risk reviews for all businesses as well preparation material for Board presentations.  Coordinate follow up of actions.

Business Continuity Plan: assist in the review, follow up, improvement and test of business continuity plans for all companies entities.

Risk Management: support the CGO in the implementation of the Risk Management Procedure. Track / manage detailed action plans.

Compliance:

Investigations: assist with ongoing compliance investigations, including leading, coordinating / supporting investigations and assuring confidentiality of process and investigations. Assist with developing an investigation process for the whole group.

Respond to various governance, risk and compliance queries from staff globally, to provide reasoned arguments to uphold the company’s policies, procedures, guidance and governance framework.

The CG Manager will assist in the review, approval and publication of new / revised policies, procedures and guidance to ensure documents follow good governance principles

Skills and education :

Advanced business degree in law and/or finance, preferably including Governance, Risk and Compliance (GRC)

Fluent in written and spoken English.

Italian and/or French is an advantage.
