For one of our clients, we are looking for a:

 

Corporate Lawyer

 

 

Job Description

 

The Corporate Lawyer is, under supervision of the Team Manager/Team Director, responsible for managing the day-to day legal and administrative affairs relating to clients.

 

KEY TASKS AND RESPONSIBILITIES:

 

·         Draft legal documents such as shareholders resolutions, board resolutions and if applicable supervisory board of directors resolutions;

·         Draft (standard) contracts such as contract of sale, management agreement, domiciliation and administration agreement and side letters;

·         Guide acquisitions and reorganizations of client companies/structures regarding legal affairs;

·         Support the (Senior) Account Manager with answering the day-to-day legal issues and queries;

·         Draft, assess and/or revise contracts and/or legal documents;

·         Coordinate the work of and advise the (junior) Corporate Lawyer /Legal Assistant about the day-to-day work;

·         Apply / carry out (internal) compliance/risk management rules;

·         Apply / carry out incorporation/insolvency and liquidation rules;

·         Coordinate the compliance and intake procedure together with the Team Manager/Team Director;

·         Draft, review and revise of agreements of a civil-and corporate law nature (prepared by Corporate Lawyer);

·         Communicate and coordinate with clients as well as all internal and external parties concerned on the client companies under management;

·         Maintain proper (legal) records of all actions taken;

·         Enlarge together with Team Manager/Team Director business development.

 

 

Your Profile

 

·         Masters of Law; 

·         2-5 years relevant experience. Experience with domiciliation of client companies would be an advantage;

·         Fluency in English, both verbally and in writing (French and/or German would be an asset);

·         Team-player with ‘hands on’ mentality;

·         Sufficient knowledge of basic international tax law, corporate governance and clear understanding of Luxembourg and international company law (holding and finance structures, incorporations, joint ventures, liquidation procedures, (group) financing rules and corporate transactions); 

·         Ability to work independently and accurately and excellent organizational skills;

·         Clear understanding of legislation, regulations and internal procedures and their application.
