Provides general paralegal support for the Legal Department, with an emphasis on corporate paralegal matters. Responsibilities include:
Maintenance of good standing of Gartner, Inc. and all domestic subsidiaries, including preparation of all annual and other filings, returns and reports, and assisting CT Corporation System with Fully Managed Account Service fulfillment, for all companies
Maintenance, organization and updating of corporate books for Gartner, Inc. and all subsidiaries worldwide (including minutes of board of directors and committees); electronic database for all Gartner subsidiaries worldwide (CT?s hCue Entity Management System); and various other databases used by the corporate secretary, including officers and directors by entity, sales agents, authorized signatories (tax and other), etc.
Responsible for maintenance and organization of major corporate legal files, both onsite and offsite
Assist corporate service directors globally with completion of necessary corporate documentation, such as obtaining signatures from directors and executives, notarizations, apostilles, filings, etc.
Provide key administrative support in connection with global corporate compliance program, including providing assistance with annual affirmations of various corporation policies and Online Learning Management Systems (LMS)
Assist in preparation for, and conduct of, board of directors meetings of Gartner subsidiaries worldwide
Assist in completion of client questionnaires and Requests For Proposal (RFPs), in particular from government agencies
Assist with SEC Form 3 and 4 filings (Computershare ? RSS), and storage of copies of other SEC filings as required
Assist with preparation and updating of quarterly litigation summary for General Counsel (working with Controller?s office)
Obtain good standing and tax clearance certificates as requested
Review and analyze legal invoices as required
Answer inquiries from internal and external clients
Assist with intellectual property matters and filings
Assist with subpoena compliance, requests for production and interrogatories
Perform notary functions
Qualifications
Associates Degree and Paralegal Certificate, or Bachelor?s Degree
4 ? 7 years corporate paralegal experience for a major multinational corporation, or as a paralegal in a major law firm, with an emphasis on corporate paralegal work
Experience with corporate books, corporate filings, SEC filings, Boards of Directors matters, litigation, and intellectual property matters
Experience with administration of an Online Learning Management System (LMS)
Client contact
