Corporate Secretary – Fund Admin – Private Equity Fund recruitment

This role will be reporting directly to a Client Relationship Manager as part of Private equity Fund Administraion supporting limited partners for a PE Fund size of USD1.5Bn. This role will provide corporate secretaril service to fund related entities.

Key responsibilities will include but not limited to:

• Prepare and Organise board meetings and annual general meetings (AGMs) and extraordinary general meetings

• Maintenance of statutory books registers

• Filing and updating the corporate records of clients’ entities with ACRA

• Drafting and circulating various directors’ and shareholders’ written resolutions

• Maintaining the statutory registers and secretarial records and minutes of such client entities

• Liaising from time to time with clients’ legal, corporate secretarial

• Issue share certificates and recording transfers and allotments of shares

• Maintaining and updating relevant in-house electronic database(s) for all client entities.

This roles requires a Diploma or Bachelors degree and good knowledge of corporate service industry. A Qualified Chartered Secretary (ACSA) or other relevant professional qualification would be an advantage with a good understanding of the Singapore Companies Act. Experience of ACRA filling and registration process is a must with a minimum experience of 3yrs.
