Why This job is Awesome: TripAdvisor is looking for a Corporate and Securities Paralegal with 5-8 years of experience in corporate secretary functions, preparation and filing of securities documents, formation and maintenance of business entities, including international companies, and commercial contract preparation/review. Among other things, Paralegal will assist in corporate issues, both domestic and international, corporate transactions and securities filings and regulatory compliance.

What You'll Do
Specifically, you'll assist in all aspects of the company's corporate practice, requiring that you work collaboratively with a highly motivated team in a dynamic environment. You also bring a high amount of energy to this job and take great pride in your work. Your responsibilities will include coordinating and preparing for board meetings, assisting with compliance of applicable securities laws and corporate governance policies, supporting merger acquisition transactions, maintaining corporate records and supporting specific projects as they arise. In addition to having the flexibility to work on a broad variety of legal matters, you're adept at managing and completing several simultaneous projects under deadline pressure.

Additional Responsibilities:
• Assist in ongoing securities laws compliance, including the preparation and filing of annual and quarterly SEC disclosure documents, overseeing Section 16 filings and program maintenance.
• Assist with the review and filing of reporting documents with the SEC including Forms 8-K, 10-Q, 10-K and Proxy statements
• Draft and file all Section 16 filings (utilizing hCue)
• Prepare and file Form IDs to obtain access codes for EDGAR
• Officer and Director form filing
• Assist with preparation and distribution of materials for board of director and board committee meetings including meeting agendas and presentations
• Draft routine resolutions and written consents and maintain minutes and records of the meetings
• Record Director attendance and handle calculation of compensation
• Maintain and managing all corporate charter documents and entity information for all corporate entities (foreign and domestic)
• Assist with monitoring, updates and education relating to corporate governance policies.
Maintain the corporate minute books and related records for the company's domestic subsidiaries.
• Handle other general corporate duties such as name reservations, foreign qualifications and annual report filings
• Manage all corporate matters for parent corporation and US and foreign subsidiaries
• General corporate governance housekeeping, including filing and corporate correspondence and certain tax filings
• Support all aspects of merger and acquisition transactions and other strategic corporate development transactions, including due diligence, document preparation, closing mechanics and post-closing integration and administration.

What We Seek:
• BA degree required.
• Experience drafting and reviewing legal documents.
• Excellent analytical skills with demonstrated ability to analyze legal advice and then apply it to business needs.
• Understanding of relevant federal, state and key international laws and regulations.
• The ideal candidate is versatile, has excellent communication and organizational skills, and is willing and able to learn new substantive skills and develop and expand existing ones to handle projects in a timely and professional manner.
