Job Title:         Corporate Trust, Shanghai - Client Services Manager (AVP)

Reporting To:   Head of Client Services Asia ex-Japan

Corporate Trust is dedicated to providing agency, trustee and depositary services to the international capital markets. It acts on a wide range of debt instruments launched in the international capital markets in the fundamental roles of trustee, collateral agent, cash manager, escrow agent, principal paying agent and registrar.

In general, we are responsible for the execution of our roles as trustee, facility agent, collateral agent, etc for bonds, syndicated loans and other debt issues. The majority of our work relates to our role as trustee where Corporate Trust has fiduciary duties to bondholders. We interact regularly with lawyers and in some cases with the financial advisers and representatives of the issuer/borrower and/or the bondholders/lenders. We review and agree documentation, arrange and attend meetings and coordinate with bondholders or syndicate of lenders. Each situation is unique and requires fresh thinking.

 

Responsibilities

·         Act as a representative of the business and take ownership of the day-to-day administration of the business including financial reporting, preparation of MIS reports and handling of control / compliance matters in accordance with the Bank's and other regulatory requirements.

·         Manage a portfolio of mainly agency mandates including (but not limited to) the following products:

1)       Syndicated Loans

2)       Project Finance

3)       Escrows, Account Bank and Custody

·         Assist the regional Head of Client Services or Client Services Team Leaders in other offices (as applicable) to formulate and implement procedures and policies which meet with the bank’s standard on control, risk management, operational efficiency and service quality.

·         Documentation review and deal execution in accordance with agreed procedures and policies together with internal or external legal counsel. Provide comments on structure, mechanics and operational aspects and be able to recommend appropriate solutions to clients by liaising with both internal and external parties including all business partners and control groups within the Bank.

·         Liaison with borrowers, lenders and other connected deal parties to deal with waivers, consent solicitation and restructurings with documentation amendments as required.

·         Ensure accurate transaction booking on all internal systems from initial transaction setup and ongoing administration and prepare reports, notices, payment instructions etc in relation to the assigned transactions. Ensure the adherence of internal control procedures in the ongoing administration of such transactions and execution of complex deals including placing of investments, review and preparation of reports, interest and collateral calculation, monitoring of financial covenants, and maintenance of deal administration file.

·         Work closely with staff in other offices in the region to jointly execute cross border or domestic deals and also to implement the Bank’s 4-Eye policy and ensure adequate business coverage.

·         Work with internal business partners including sales and product management both locally and globally on projects and new product developments to further build and develop the business.

 

Requirements

 

·         A minimum of 5-7 years experience in banking, corporate trust experience highly preferred. Candidates with strong legal and client service background, and solid debt capital market product experience will be highly regarded.

·         At least 3-5 years in a similar role with previous experience (in the area of loan syndication or capital markets) of working on documentation review and client servicing.

·         Very strong analytical and problem solving skills. Some knowledge of financial statements (preferable)

·         Details-oriented, diligent, strong team-player and ability to work independently. Ability to produce results and solve problems under pressure to meet aggressive deadline.

·         Strong interpersonal and negotiation skills. Excellent written and verbal communication skills (English and Chinese).
