Main Responsibilities:

• M A: independent legal support of transactions, including DD of the buyer and seller, selection, hiring and coordination of external legal consultants, coordination of positions of the parties /shareholders;

• Corp.Fin.: Structuring transactions to raise financing (debt / equity / securities / derivatives),harmonization of financial conditions, covenants, warranties, guarantees, etc.

• UK Compliance: compliance with the rules and LR, PR, DTR (FSA / LSE) and UKBA (SFO).

The Role:

• Drawing / legal analysis / adjustment agreements, findings and reports, memoranda, reports and proposals on legal issues for M A transactions and Corp.Fin (if necessary, the selection and use of external consultants, including the coordination of their work);

• Interaction directly with (a) lawyers (b) employees of the Corporation and related entities (c) representatives of the contracting parties and their legal advisors to negotiate the legal terms of transactions and M A and Corp.Fin, in the interests of the Corporation in accordance with the conditions of the applicable law ;

• Analysis / making amendments / comments / additions to the material publicly disclosed by the Corporation, including annual / quarterly reports, press releases, etc. and on compliance with FSA / LSE;

• Development, implementation and updating of the internal documents of the Corporation to comply with the requirements of «UK compliance» with regard to FSA / LSE and anti-corruption standards and requirements;

• Preparation of reports and presentations for the CPV Leader and Guide of the Corporation on the results of their work and / or the results of the structural unit;

• Performance of official orders immediate supervisor, as well as orders and instructions of the President of the Corporation, as well as the duties and powers.

• Demonstrates solid supervisory and team development skills, commands respect of his deal team(s)

• Leads from the front – actively takes ownership for deliverables of projects/initiatives, assigns specific tasks to junior members of the deal team and regularly follows up

• Further develops solid written and verbal communication skills; develops negotiation and client/relationship skills

• Proactively identifies and addresses potential risks to and process improvements of the Fund
