Ecolab is seeking a strategic and business oriented ERISA / Employee Benefits Attorney to join the Corporate Law Department located in St. Paul, MN. The ERISA/Employee Benefits Attorney will assist in driving a world-class Legal function at Ecolab that supports the company’s growth, protects shareholder value and develops associates.

Main Responsibilities:
- Support and advise senior management, human resources and treasury departments on complex matters pertaining to tax-qualified retirement benefits, non-qualified executive deferred compensation arrangements, health and welfare benefits and other employee benefit arrangements, including with respect to ERISA, IRC, COBRA, HIPAA, 409A, trust and fiduciary requirements.
- Interface with US and Puerto Rico governmental agencies, including DOL, IRS, PBGC, HHS, Hacienda and certain state agencies, on various filing and reporting requirements, determination letter filings, corrective actions, plan audits and investigations and claims.
- Manage the drafting, review and negotiation of benefit-related documents and agreements, including plans, trusts, recordkeeping arrangements, investment management agreements, insurance contracts, third-party administration agreements, plan audit arrangements, health claims audit agreements, plan prospectuses, summary plan descriptions, plan forms, claims appeal responses, and the myriad ERISA mandated participant disclosures.
- Assist HR with HIPAA and other benefit compliance programs, prohibited transaction analyses, day-to-day plan interpretations, claims appeals, 409A compliance, QDROs, QMCSOs, annual plan returns, employee communications and general administration guidance.
- Provide consultation to the internal benefits investment committee regarding plan investments, fiduciary issues, investment management agreements, etc.
- Analyze and manage employee benefits aspects of MA and other combination and divestiture transactions, including pre-acquisition due diligence, purchase or divestiture provisions, and post-transaction integration and plan mergers and other disposition and wind-up of acquired or spun-off plans.
- Assist Corporate Counsel with executive compensation portions of the Corporation’s proxy statement.
- Coordinate, oversee and manage engagement of outside counsel in all aspects of employee benefits and executive compensation programs.
Basic Qualifications:
- Juris Doctorate (JD)
- 7+ years of broad employee benefit law experience
- Admitted or eligible to be admitted to practice law in Minnesota
