Fund Services Global Legal Adviser
Looking to make a move? An excellent opportunity has arisen for a result driven Fund Services Global Legal Adviser to join the London, Luxemburg or Paris legal team.
This role will report into the Global Head of Legal Affairs primarily supporting the Asset and Fund Services (AFS) division of BNP Paribas Securities Services, a wholly-owned subsidiary of the BNP Paribas Group.
Securities Services was created to expressly provide specialist securities services and investment operations support to a wide range of issuers, financial intermediaries and institutional investors. The geographical scope of the position will be Europe, the US and Asia Pacific.
Key responsibilities will include:
- Providing legal support in respect of critical business initiatives and projects e.g. AIFMD project and management of legal risks within the AFS business division
- Identifying and implementing legal, regulatory and market practice changes to template legal documentation
- Working with international legal and product colleagues to ensure the consistent development of legal precedents and practices relating to the AFS business
- Development of global legal guidelines relating to AFS products and legal documentation
- Advising on new product and marketing initiatives relating to the AFS business line
- Approving new AFS products as part of the product validation committee process
- Negotiating, drafting and reviewing contracts within the AFS business
- Participating in project and committee meetings relating to the AFS business line
- Providing support and acting as a point of escalation for local legal colleagues supporting the AFS business line
Suitable candidates must be a qualified solicitor in England and Wales or qualified lawyer in other European jurisdictions with experience gained either in-house in an international financial services organisation or in a medium/large private practice specifically dealing with financial services matters.
Experience working on international transactions and projects is a must, as is drafting, reviewing and leading complex negotiation of legal agreements. Exposure to the product development process (i.e. identifying and quantifying legal risk) and commercial transactions (understanding business needs and ability to "balance" business need and legal risk through creative legal thinking) is essential along with relevant experience in:
- custody
- fund administration
- dealing/execution
- depositary/trustee services
- fund domiciliation and paying agency services
- transfer agency
- fund (or services for funds) product development; and
- regulatory issues affecting the fund and/or investment management industry
Knowledge of French would be useful but not essential.
