The key criteria for this role is to be able to bring a highly competent MA/corporate finance skill-set to the Centrica plc Group Mergers Acquisitions team which has likely been developed in established investment banks or corporate finance boutiques or Big 4 accounting firm transaction services team or a MA team at a large international corporate.
Group Mergers Acquisitions Manager - Centrica - The Role
- Supporting the Group Head of MA and two Directors of MA in the UK and/or working with colleagues in North America;
- Evaluation and execution of MA transactions undertaken by Centrica plc and its business units including buy-side transactions, sell-side transactions; joint venture; partnership and other corporate finance transactions;
- Day to day project management of highly complex MA/corporate finance transactions including leading junior colleagues and interacting across Business Units, Corporate Centre functions and external advisers and counterparties;
- An ability to build from first principles complex financial models for valuing energy assets and financial impact analysis, including in order to direct and coach junior team members and/or direct external financial advisers;
- An ability to undertake complex financial analysis including valuation (DCF; comparable companies; comparable transactions; dividend discount model etc), cash flow analysis, credit analysis and other similar analyses;
- An ability to contribute to creative solutions for MA and corporate finance transactions undertaken by Centrica plc;
- Assisting in the professional development and training of junior team members and new joiners
- Prepare internal presentations for senior team members, senior Executives of Business Units and/or Centrica Group executives (including ISC, CEC and Board) relating to transactions under consideration;
- Remain fully conversant with all capital market developments including MA techniques, the Listing Rules, and other relevant regulatory or market developments.
Mergers Acquisitions Manager - Centrica Plc - The Person
- An individual who can demonstrate strong leadership skills, in particular, leading MA execution activities and also in developing the Group MA best practice as well as assisting in the professional development and training of other team members.
- An experienced individual, in particular, in dealing with Senior Executives directly or their key team members (e.g. operational; commercial; financial; legal) in relation to MA/corporate finance transactions and in a highly confidential environment.
- An individual with a high intellectual capability demonstrated both by academic qualifications from a leading university as well as an ability to assess large volumes of complex information in order to develop concise, commercially based arguments to convince senior executives and colleagues in relation to MA/corporate finance transactions. · Strong organisational skills, a proven ability to multi-task and to consistently lead teams in MA/corporate finance transactions to a successful conclusion.
- Strong knowledge of the global energy utility industry and global capital markets
- Deep experience of MA/corporate finance transactions likely to have been gained at an established investment bank, corporate finance firm, Big 4 accounting firm, established private equity firm or in the MA team of a FTSE100 corporate or similar organisation.
