The San Francisco Associate will work directly with senior bankers and can expect to have significant client interaction. The MA Associate will be expected to take on a great deal of responsibility early on in her/his career and to make a significant contribution to deal teams.
Responsibilities include but are not limited to overseeing analysts, financial modeling and analysis, industry and company research, development of client presentations, and drafting of memoranda and offering documents for internal and external use. Associates will work on a wide range of MA transactions including acquisitions, divestitures, restructuring, fairness opinions, recapitalizations, joint ventures and leveraged buyouts for both public and private clients. Successful candidates must have the desire to excel and grow in an entrepreneurial environment.
Key Experience Responsibilities:
- Broad technology investment banking experience
- Requires extensive experience executing public and private MA transactions
- Responsible for preparing a variety of presentations covering a broad spectrum of MA and Advisory topics. Presentations include detailed valuation analyses, market and industry overviews, acquirer strategic rationales, positioning and recommendations, among other things
- Develop valuation analyses including discounted cash flow analyses, accretion/dilution merger models, LBO models, comparables, precedent transactions, sum of the parts and bottom-up operating models.
- Interact extensively with client management teams when executing transactions. Includes participating in organizational meetings, leading due diligence sessions and negotiations
- Responsible for calling on potential acquirers and investors when executing transactions
- Create selling memorandums and investor presentations
- Responsible for overseeing a team of analysts daily
Qualifications:
- Exceptional modeling analytical skills
- Exceptional communication skills and ability to drive meetings with client management teams
- Exceptional attention to detail and business writing proficiency
- Strong work ethic
- Desire to take on large amounts of responsibility and have the desire to manage deal teams early in their investment banking career
- Prior investment banking MA experience required along with the ability to articulate your understanding of the MA process
