Responsibilities
The successful candidate will be responsible for negotiating, drafting, and counseling business clients regarding technology procurement agreements, data and software licenses, data transfer agreements, professional service agreements, business process outsourcing agreements, joint development and distribution agreements, training and consulting arrangements, and general commercial contracts. The candidate will also help resolve questions about contract interpretation and disputes. The candidate will also advise business clients on Internet-related legal issues including data protection and privacy, spam, copyright and fair use issues, online user agreements, social media, and e-commerce. The job requires working closely with the procurement group, risk management team, information security team, and business lines to incorporate technical and business requirements into agreements. Significant experience drafting and negotiating a high volume of technology-related agreements is a must. Familiarity with financial sector and/or international data privacy and security laws a plus.

- Negotiating and drafting, consulting, training, copyright, licensing, joint development, professional service, and other types of vendor agreements to procure products and services
- Negotiating and drafting data and software licenses and hardware purchase agreements with vendors
- Handling both offensive and defensive intellectual property infringement pre-litigation claims, conducting investigations as necessary
- Advising and training business clients on issues relating to avoiding infringement of existing intellectual property
- Advising business clients on Internet-related legal issues including data protection and privacy, spam, online user agreements, social media, and e-commerce
- Managing outside counsel where support is needed on the foregoing issues

Qualifications
- Three to five years of intellectual property experience, graduate of an accredited law school (JD degree) and admission to practice in New York
- Strong drafting and negotiation skills with respect to a wide variety of technology and procurement agreements
- Strong knowledge of substantive intellectual property law
- Experience working in a team environment and strong interpersonal skills
- Demonstrated ability to handle a large volume of work and balance competing demands of numerous clients under time pressure
- Ability to effectively communicate complex issues to business clients
- Pro-active self starter with a demonstrated ability to work efficiently and with minimal supervision
