KBC Senior Advisor Corporate Development recruitment

As part of this department, the Corporate Development section’s main focus is currently the analysis, execution and follow-up of the divestments of the entities to be divested in accordance to the European restructuring plan as well as specific internal corporate projects. After execution of the EU restructuring plan by 2013, the team will resume its search for (international) expansion opportunities of the KBC Group.

The Corporate Development team strives to accomplish the following goals in close collaboration with other business units of the KBC Group:
1. Execute the EU restructuring plan including the divestments of KBC Group entities both inside and outside of the strategically important KBC home markets.

2. Develop and distribute within the KBC Group standard tools, methods and procedures for divesting, originating, analyzing and executing corporate development projects.

3. Be the centre of excellence for MA management, including due diligence, valuation, negotiation of legal documentation and post-MA separation/integration within the KBC Group.

4. Be the single point of contact for all intra-group restructuring projects with a direct impact on the KBC Group capital and corporate structure, including joint-ventures, divestments, off-shoring, …

5. Raise standards across the KBC Group on valuation, legal documentation and due diligence by installing training cycles and offering internship.

Your assignment
As Senior Advisor Corporate Development you are part of the corporate development team of the KBC Group.

You will be responsible for actively researching and managing MA projects for the KBC Group as well as internal restructuring projects.

This includes:
1. Mergers and acquisitions
° Identify potential investment or divestment targets in Belgium and abroad in all areas where the KBC Group is active or wishes to become active
° Valuate target companies or activities to be divested
° Manage the due diligence process in collaboration with external advisors (investment banks, accountants, lawyers, business consultants)
° Analyse the financial impact of the acquisition or divestment on the KBC Group
° Structure the acquisition or sale transaction 
° Lead negotiations on the sale/purchase agreement and other transaction documentation
° Draft the memo’s for the Executive Committee and the Board of Directors of the KBC Group on the acquisition or sale

2. Specific internal corporate projects
° Manage specific internal corporate projects with a direct impact on the capital or corporate structure of the KBC Group
° Valuate the KBC Group’s main constituents or activities
° Analyse the financial impact of specific internal corporate projects on the KBC Group
° Draft the memo’s for the Executive Committee and the Board of Directors of the KBC Group on the specific corporate project

Following requirements are essential:
- Several years of experience in MA transactions
- Strong leadership skills
- Well developed analytical skills, strong quantitative capabilities
- Loyalty, strong involvement with KBC’s interests
- Confidentiality
- Flexibility and ability to cope with tight deadlines and stress
- Team player, as well as ability to work independently
- Good communication skills (English), both oral and written
- Excellent knowledge of Excel and Powerpoint
