Legal Director Asia – DCM – Hong Kong or Singapore recruitment
Our client is an international medium sized capital markets business with their main hub being in Europe. Their Asia business has continued to grow and thrive in recent years despite difficult conditions and after much consideration they are in a position to appoint their first Asia based In-House Counsel. The role required someone comfortable with autonomy as it reports into the General Counsel whom is based in Europe. You would also need to be an effective communicator as it will work closely in an advisory capacity with the business which is hubbed in Hong Kong and Singapore. The role requires someone with prior Debt Capital Market (DCM) experience ideally from within Asia. You will ideally possess over 8 years post qualified experience and would ideally have some In-House experience or relevant secondment experience at the very least. The role will require some travel and chinese language skills are useful but not essential.
Responsibilities Include
- Transaction management of all aspects of debt (and, to a lesser extent, equity) capital markets new issues.
- Key focus on the Capital Markets Group's developing business in Asia.
- Draft, review and negotiate legal documentation.
- Liaise with clients, external lawyers, stock exchanges, trustees, agents, and accountants.
- Assist the business teams in Hong Kong and Singapore with ancillary client-related activities such as marketing and pitching for new transactions.
- Monitor, identify and advise on legal and regulatory risks and market developments in connection with debt and equity capital markets transactions.
- Some involvement in the development of the Legal Department's procedures and template documentation, particularly in relation to new business areas being developed or new jurisdictions, together with occasional advice to various internal committees on legal risks in respect of any new or existing products.
- Assist in the selection, retention and management of related costs of external legal advisers.
Background
- Qualified solicitor (or equivalent non-English professional legal qualification), with significant (ideally 8 years plus) post-qualification experience in debt capital markets, obtained either at a leading City law firm and/or in-house at a major international financial institution.
- A good level of knowledge of, and practical experience of working in, the investment banking industry within the debt and equity capital markets space.
- The ability to demonstrate a high degree of commercial awareness and to make sound legal judgement calls in a fast-moving business environment, together with an ability to identify and manage legal / contractual risk.
- A confident communicator who can effectively handle a significant amount of direct client-facing work.
