M&A Manager Job in Palma De Mallorca, Balearic Islands Spain

Main Responsibilities:

• Day-to-day project management of transactions – co-ordination of internal and external parties, project timetable, regular communication etc.
• Review of new opportunities / co-ordinating with relevant commercial expertise within the business. Keeping abreast of relevant deals and opportunities within the Travel space
• Working alongside and supporting the Co-Heads of MA on larger transactions
• Coordination of DD – Identification of key transaction risks, ensuring where necessary they are fed into Due Diligence scopes. May be required to carry out high level financial due diligence (FDD) / FDD on smaller transaction.
• Legals – Negotiation and review of key legal documents including sale purchase agreements, shareholders agreements, and JV agreements
• Knowledge of Valuation techniques and methodologies – strong financial modelling skills
• Transaction structuring – participation in discussions around structuring transactions including earnout, deferred consideration, and ‘withholding’
• Input into board papers / evaluation of opportunities and critical view of synergies to be delivered
• Managing the internal approval process with Company Secretary and Treasury
• Liasing with advisors- inputting into advisor scopes, tracking and managing fees
• Familiarity and expertise in understanding the working capital dynamics of businesses and the interplay with relevant mechanisms within the SPA / post completion measurement
• Leading the tracking and payment of earn out and deferred payments to targets.

Key Relationships:

To be successful in this position, the candidate must build strong working relationships with the following groups:
• The AD Board
• Senior Management, and supporting commercial and finance teams, of each AD Division
• All AD functions including Business Development, Legal, Tax, HR and Finance
• Group Finance, Company Secretarial, Treasury and other functions
• External advisors including Due Diligence providers, Lawyers and Corporate Finance Advisors
• The management teams and shareholders of target businesses

CANDIDATE PROFILE

This position will require the following qualification and skills:-

• At least 4 years MA experience, currently working within either a big 4 accounting firm, another blue chip organisation or possibly an investment bank or corporate finance boutique.
• Strong knowledge of the acquisitions and disposals process with a strong deal sheet across both buy and sell side transactions in the mid-market space
• First class academic profile
• Strong communication and presentation skills
• Proven interpersonal and relationship management skills and demonstrated commitment to teamwork and partnerships. Ability to build good working relationships with all members of the organisation
• Excellent organisational and time management skills reconciling conflicting and overlapping priorities for an on-time delivery. A methodical, organised approach to the execution of assigned tasks and responsibilities
• Conscientious attention to detail
• Diplomacy and consensus building skills to establish trust and credibility
• Ability to handle confidential information with maturity and discretion
• Strong written and verbal communication skills
• Strong excel and PowerPoint skills
• Capacity to take initiative and solve problems with minimal supervision
• Previous experience of staff supervision and management desirable
• Ability to travel overseas regularly
• Good written and spoken language skills in English
• Other language skills a bonus
• Travel industry experience not essential
