MANAGER EXPERIENCED IN TRANSFER AGENCY AND COMPANY SECRETARY Job in Luxembourg 1331
THE ROLE :
Reporting to the Chief Operating Officer, the « Associate Director - Investors Services Group, Payments Company Secretary » role is to help/support drive through strategic and tactical change whilst ensuring continued adherence to regulatory and statutory standards. In addition the role is key in ensuring adoption and adherence to the group standards covering compliance, enterprise risk management, the control environment, information security and information technology. In order to fulfil this role the « Associate Director - Investors Services Group, Payments Company Secretary » must be able to deal confidently with all parts of the business whilst maintaining appropriate objectivity in the assessment of the effectiveness of controls and change needs. The current environment of rapid change present in the group demands a close working relationship with both the COO, MD and Client Servicing Managers responsible for the delivery of service to clients within the Jurisdiction and Risk, Compliance, IST and Group Security Heads, together with their colleagues within the group, to ensure that transformational change and changing regulations do not lead to unrecognised or unmanaged risks within the Jurisdiction. The role will encompass the management of functional change and revision of the operational model to align Luxembourg with the wider target operating model being adopted within the company. It is therefore important that there is consistency implementing department and jurisdiction wide solutions.
People management
- The person will supervise the « Investors Services Group, Payments Company Secretary teams » and support areas.
Governance
- Sit on the New and Continuing Business Committee for Luxembourg (NCBA).
- Attend where required on all other Operational Committees or other such meetings as deemed necessary or required by the Lux COO. Operational Control Change Leadership
- To develop fit for purpose processes, procedures and controls for all operational processes in the sphere of operation.
- To ensure remediation of issues or deficiencies identified in Regulatory, Financial, Internal Audit or Control (SSAE 16 type) audits.
- To ensure adoption of group policies and controls.
- Monitor and report on the progress and status of identified issues and process changes.
- Leadership of major change events and to assist in implementing the company's strategies across the sector.
- Personal sponsorship of self identified / individual change initiatives where there is a strong business rationale.
- Develop and present the business case for change in conjunction with the Lux COO.
- Assist with the development, implementation and maintenance of compliance and risk monitoring systems and procedures (in conjunction with Head of Compliance and Head of Risk).
Client Interaction
- Whilst not expected to be a daily occurrence there will be an element of client interaction.
- Typically this will be at a senior level, when there is a significant change to the business relationship or significant issues with the client service delivery.
Cost management
- He/she must support the Luxembourg COO, MD, Client Servicing Managers and seek to identify efficiency opportunities to minimise the costs of the organisation and/or to reduce the unit cost of production where the volumes are increasing.
- Whilst this will largely be driven at a group level with wider business transformation objectives He/she should seek out efficiencies at a local level for his direct and indirect areas of influence and control and seek to maximise opportunities around these.
Additional duties
- In addition to the duties listed above, He /she may be requested to perform any other ad hoc duties, projects or short term initiatives as requested by the COO or/and MD which are appropriate to his/her skill set.
THE PROFILE :
- A minimum 6 years + relevant operational experience gained in a regulated market or financial services business at a managerial level.
- Strong understanding of transfer agency and company secretarial services
- Strong manager, capable of promoting, supporting, implementing and monitoring all aspects of change and reporting throughout the company at all levels
- Full understanding of the importance of and implementation of workable operational controls - Legal background is an asset.
- Effective communication skills with the ability to effectively present information to senior management/board, clients and stakeholders
- Ability to manage conflicting demands under pressure
- Awareness and experience of working practices across different jurisdictions an advantage
- Practical, result oriented, with high quality standards, flexible to accommodate organisational change in an evolving global business
- Excellent analytical skills, with an ability to define problems, collect and analyse data, establish facts, and draw valid conclusions
- A strong track record of people management.
