Manager/Senior Manager Transaction Services
Our client, a medium sized public accounting firm based in Downtown Toronto, has an immediate need for a Manager/Senior Manager Transaction Services. This firm is open to looking at Manager and Senior Manager level candidates and will adjust salary expectations accordingly based on experience.
The Manager/Senior Manager Transaction Services is to be responsible for managing the execution of financial due diligence engagements and production of comprehensive reports on findings focused on challenging transaction rationale, identifying deal breakers, and providing value-added recommendations on pricing, negotiation, protection, structuring, and next steps from a buy-side and sell-side perspective. Key elements of financial due diligence include qualitative analysis of business and financial reporting systems, and diagnostic assessment of quality of cash flows, earnings, net assets, contractual obligations and financial forecasts.
Additional areas of focus involved for the Manager/Senior Manager Transactions will include:
- Coordinating engagement planning including scoping engagements, budgeting and resource allocation;
- Leading teams of up to 5+ personnel to execute engagements including day-to-day supervision and review of team members' working papers;
- Compiling and reviewing all client deliverables including daily/weekly reports and presentations and final reports;
- Providing transaction inputs and collaborating with the valuation team to ensure appropriate basis for valuation;
- Coordinating and collaborating with legal advisors to ensure appropriate drafting of share purchase agreements from a financial perspective (i.e. robustness of representations, warranties and conditions, suitability of definitions of working capital target, purchase price adjustment or pay-out mechanisms, etc.);
- Managing client relationships and facilitating timely communications regarding engagement progress and key findings through interactions with senior management and presentations to board of directors.
Qualifications:
Candidates to meet consideration for this full-time opportunity will have the following skill sets and experience:
- 5 or more years of Due Diligence (MA and other Transactions work) experience with mid-level clients (the focus here is on the Transactional side, not the Corporate Finance side);
- 2 or more years of experience in a Management role;
- Significant experience in financial modeling/financial due diligence;
- Experience preparing Information Memorandums (IM's);
- Strong communication and report writing skills;
- Preference will be given to those individuals who have completed (or are currently active in the process to complete) designation as a CFA, CA or CBV;
- Experience working with natural resources clients is an asset.
