- Serve as the internal legal expert regarding ETFs and provide consultation to ETF clients and their counsel
- Act as a trusted adviser to internal senior management regarding ETF servicing (including administration, transfer agency and custody), asset management and capital markets
- Serve as a key team member for new business presentations to senior management of current and potential ETF clients and their counsel, including with respect to on-boarding
- Act as key Board governance liaison with multiple Boards of Trustees and have experience and comfort preparing materials for, and leading significant portions of, Board meetings
- Lead strategy sessions with internal personnel and external distributors regarding the negotiation of authorized participant (AP) agreements with broker-dealers and their counsel; lead negotiation sessions with such parties
- Draft and/or interpret ETF and other exemptive relief, no-action relief and regulatory comment letters; communicate with SEC staff and formulate responses
- Organize and register ETFs under the 1940 Act and 1933 Act and prepare applicable regulatory filings, including Form N-1A, N-CSR, N-PX, XBRL, proxies and other regulatory filings
- Prepare fund agreements, distribution plans, policies, procedures and Rule 38a-1 compliance programs
- Manage U.S. stock exchange listings, compliance and related matters under the 1934 Act
- Lead and/or support ETF cross-listings and registration activities in designated foreign markets and liaison with personnel and counsel in foreign jurisdictions
- Keep current with legal developments, coordinate communication of such developments to clients and proactively apply such developments to clients' situations
- Serve as a mentor or developer of less experienced colleagues
- Lead resolution of complex client or internal legal issues; issues with potential liability to State Street and "sticky" client service issues; bring such issues to the attention of senior management; and resolve such issues with input from more senior management
- Research and prepare memoranda on general industry issues not related to specific clients and/or participate in seminars and conferences on industry-related topics
- Manage junior attorneys and/or a small legal administration unit or the legal operations for a small business unit.
- Demonstrates high level of integrity and professionalism.
- Excellent communication skills, both written and verbal, including ability to present publicly and to present to internal and external senior management teams and Boards of Trustees.
- Works collegially with other internal and external personnel, from junior levels to the highest in senior management, and treat all personnel with respect.
- Possesses strong time management skills and independently handles complex projects and multiple priorities for multiple clients.
- Establishes close working relationships with clients and Board members and provides excellent service to clients/Boards with minimal supervisions.
- Has a mastery of relevant statutes and rules.
- Demonstrates keenly developed issue spotting and diagnostic problem solving skills.
- Exercises considerable sound business and legal judgment.
- Demonstrates strong organizational skills and independent follow through on issues and tasks.
- Demonstrates ability to adapt and manage new, changing and often conflicting situations.
- Ability to delegate assignments effectively and efficiently. Utilizes resources efficiently.
JD from accredited law school required. Law Firm experience preferred but not required.
