The company has announced plans to reposition its upstream and downstream businesses into two stand-alone, publicly traded corporations during the second quarter of 2012. Once the repositioning is complete;

  • ConocoPhillips will become one of the industry’s largest and most diverse global pure-play exploration and production companies, and;
  • Phillips 66, the downstream company, will become one of the largest U.S.-based refining companies, with integrated operations that also include segment-leading marketing, midstream and chemicals businesses.

ConocoPhillips’ repositioning is subject to market conditions, customary regulatory approvals, the receipt of an affirmative ruling from the U.S. Internal Revenue Service, the execution of separation and intercompany agreements and final board approval.
