OTC Derivatives Lawyer (FICC)
A leading global investment banking, securities and investment management firm is looking for an accomplished Derivatives Lawyer. This company provides a wide range of services worldwide to a substantial and diversified client base that includes corporations, financial institutions, governments and high net worth individuals.
The Securities business in Australia comprises the fixed income, currencies and commodities (or FICC), equity derivatives, sales and trading businesses (including cash equities, listed options, and futures) and Private Client business (including retail and wholesale structured products). This role is to support the FICC division.
Responsibilities:
Responsibilities include providing advice and guidance to traders and sales people on a broad range of legal and regulatory matters across FICC.
- The lawyer will have primary coverage for the FICC and OTC derivatives businesses;
- Provide legal advice to the FICC division, and support to senior ISDA negotiator, in relation to the drafting and review of bespoke credit terms in an ISDA Schedule/ CSA, long form confirmations and other OTC related documentation, assisting with capacity checks for OTC counterparties;
- Leading negotiations on other documentation relating to all aspects of the Securities business, including trade and clearing reporting issues, agreements for the benefit of the FICC division, reviewing structured derivatives confirmations / termsheets / wholesale and retail client offer documents (PDSs and prospectus);
- Advising on licensing / regulatory matters impacting the FICC division, including in respect of offshore entities transacting with Australian counterparties;
- Provide secondary support to the Senior Counsel on matters relating to the listed sales and trading businesses, derivatives clearing and other businesses within the Securities Division;
- Work with the Compliance team on regulatory matters and investigations. There will also be opportunities to become involved in policy work, including representing the firm in discussions with regulators and industry bodies.
- Preparing, maintaining and updating precedent legal documentation and agreements to incorporate changes in applicable law and regulations, offshore policy or changes in market practice.
- Liaise globally with legal and compliance personnel on issues relating to the FICC division.
- Assist in the preparation of materials for submission to the internal committees in Australia and globally.
The role requires the ability to work independently from day one and to manage a diverse and complex workload meeting tight deadlines. Lawyers in the team work closely with a diverse group of clients across the trading floor and thrive on the pressures of delivering consistently high quality advice to a dynamic and constantly evolving business.
Skills/Experience:
We are targeting qualified derivatives lawyers in the 7-10+ years PQE range, although would be willing to consider candidates with a different PQE range. Candidates will need to demonstrate a strong grounding in derivative documentation, securities law and regulation and relevant post-qualification experience either with a reputable law firm or as in-house counsel, preferably within a financial institution. International experience will also be considered an advantage for candidates.
