Prepares Board meeting materials (agendas, memoranda, resolutions, draft minutes, regulatory updates) and preparation of Board packages to board members and other interested individuals prior to board meetings.
- Drafts Board meeting minutes and resolutions for review by senior attorneys.
- Prepares filings with the SEC (including annual updates to Registration Statements on Form N-1A, supplements, Form N-PX and Form N-CSR).
- Maintains and takes responsibility for compliance with corporate filings calendars and recurring board agendas.
- Coordinates with clients, outside counsels, State Street Financial Administration and other fund service providers with respect to fund issues.
- Works at the general direction of a senior attorney in the delivery of legal administration services to clients.
- May participate in special projects for which the problems and issues are clearly defined.
A Senior Paralegal must have a minimum of three years' experience as a paralegal in the financial services industry, specifically related to the Investment Company Act of 1940. The ideal candidate must demonstrate a strong working knowledge of the Investment Company Act of 1940, the Securities Act of 1933 and other rules that govern mutual funds. A Senior Paralegal will have significant responsibility for the provision of day-to-day legal administration services to one or several clients and must demonstrate a good working knowledge of the types of services provided. A Senior Paralegal must demonstrate an ability to work with general direction from senior attorneys or a Paralegal Manager and must be adept at juggling priorities for multiple clients to meet deadlines based on changing client and department needs.
