Paralegal/Solicitor (Fixed Term Contract) recruitment

Investment Fund Services Limited (IFSL) a wholly-owned banking subsidiary of the BNP Paribas Group created expressly to provide fund hosting services seek two experienced Paralegals/Solicitors to join their team on a Fixed Term Contract basis for 6 months.

Reporting to the legal and marketing manager, you will be responsible for providing legal support in respect of:

• Coordination of completion obligations for a large corporate project including assisting with the preparation and negotiation of novation, variation and termination agreements and providing related support; • Drafting and reviewing amendments to investment fund documentation in relation to specific regulatory changes; • Drafting and reviewing documentation in support of new fund launches during this period of change, ensuring consistency across all fund documents. • Negotiating, drafting and reviewing basic contracts within the IFSL business and providing appropriate risk analysis of such contracts to the business. Applications are welcomed from candidates with a minimum of two years experience preferably working in a bank/financial services in-house legal department, or alternatively in private practice; Applicants must hold a degree in English law; Diploma in Legal Practice (preferable) You will have an awareness and understanding of the legal and regulatory requirements related to investment funds including knowledge of the impact of RDR, FSA Guidance on Structured Funds and the COLL sourcebook; In addition, you will have experience of: • drafting and reviewing fund documents including: prospectus, instrument of incorporation, simplified prospectuses, key investor information document; • drafting, reviewing and negotiating investment fund related agreements such as sponsorship, ACD, depositary, distribution/platform and investment management agreements; • working with colleagues (legal and business) in the coordination of projects and client transactions; and identifying legal risk, suggesting risk mitigants/solutions and escalating to business and team colleagues.
