BUSINESS UNIT AND ROLE OVERVIEW

• The successful candidate will be joining the Goldman Sachs legal documentation group in London, which forms part of the wider legal department . The role will entail working closely with and for the Global Securities Services Legal team in London, as well as working with our colleagues in Hong Kong and New York.

• The Global Securities Services business provides prime brokerage services to hedge fund clients. These services include margin lending, securities lending, custody, market access, capital introduction and access to derivatives trading.

• Position:  GSS Documentation Negotiator

• Size of team:  approx 18 negotiators

• Department: within Securities Division Legal Department, London

• Training: on the job training provided, strong emphasis on career development

• Reporting lines: reporting into one of the Co-Managers of the team

Required Qualifications

• Candidate must have completed a degree in law or relevant conversion course; and

• Acquired legal experience in a law firm or in-house legal environment for at least 3 years.

Required - Core Skills

• Extensive understanding of contract law and solid drafting skills;

• Familiarity with prime brokerage business and the legal documentation that supports such a business;

• Strong communication and negotiation skills and ability to share ideas in a clear and concise manner;

• Proven excellent organizational skills and attention to detail, especially under pressure; ability to prioritize and to project manage issues through to completion;

• Willingness to be part of a team;

• Flexibility and willingness to learn new skills and develop full job ownership; and

• Working knowledge of MS software packages (MS Word in particular).

Other Skills - advantageous

• Familiarity with market standard stock lending, repo or derivative documentation, and an understanding of the structure and regulation of hedge funds and UCITS;

• Ability to understand complex financial documentation and a sound understanding of the financial markets as a whole; and

• Familiarity with concepts of netting and set-off as well as the requirements and steps to be taken for the creation and perfection of security interests.

Responsibilities

• Drafting, reviewing and negotiating prime brokerage documentation (including security documentation), cross margining agreements and other ancillary documentation;

• Drafting, reviewing and negotiating of market standard stock lending documentation, amendments for both supply trading and client trading;

• Working closely with the sales and client on boarding teams to ensure appropriate legal documentation is agreed and in place for client launches;

• Keeping abreast of business and regulatory developments as they impact on the way in which our business operates;

• Liaising with GSS legal team, trading desks, operations teams, credit and tax departments in facilitation of the above responsibilities; and

• Preparation/maintenance of files and records relating to documentation negotiated and file notes relating to due diligence performed.
