SEC Compliance Manager/Director Job in Pleasanton 94588, California Us

Large publicly traded Tri Valley manufacturing company is looking for a Senior Manager of SEC. This role will be responsible for: Prepare and complete required SEC filings including Form 10-Q and Form 10-K, while coordinating with other departments, including treasury, legal, and operations and parties outside of the Company, including external auditors, printers and external counsel. Ensure the quality and accuracy of supporting materials and processes for SEC filings to enable the Chief Financial Officer and Chief Executive Officer of Eaton Corporation to sign quarterly financial certificates verifying the controls and reliability of the Companys financial statements in accordance with Sarbanes Oxley Act of 2002 section 302 and 906. Ensure compliance with Extensible Business Reporting Language (XBRL) filing obligations. Assist legal department with preparation of the annual proxy statement. Perform analysis and implementation of new US GAAP accounting standards and be a resource for interpretations of existing US GAAP accounting standards. Prepare supporting documentation for senior management and auditors. Prepare and document support and entries related to complex and/or unusual accounting transactions. Contribute to the financial close processes including preparation of the consolidated cash flow statement and statement of shareholders equity and performing the annual goodwill and intangible impairment analysis. Review all major corporate events, including significant contracts, mergers and acquisitions, debt and equity offerings, stock based compensation and assess their accounting impact for Form 8-K and other required SEC disclosures. Maintain current understanding of the FASB, SEC and other regulatory bodies' projects in order to keep management apprised of pending decisions that will impact the Company. Participate in the annual and quarterly forecasting process for the external reporting related expenses. Provide technical accounting expertise for the Company. Minimum Qualifications: BS in Accounting Minimum of 7-10 years of accounting experience, with a combined public accounting and SEC reporting experience. Additional Qualifications: CPA a plus. Ability to manage and supervise a cross functional team of stakeholders and demonstrate a strong sense of business acumen and leadership skills. Strong analytic and problem solving skills, including the ability to multi-task and manage changing priorities in a dynamic and fast paced work environment. Analytical, writing and project management skills. Excellent oral and written communication skills. Initiative to work independently yet keep all parties apprised of developments.
