Securitisation Lawyer recruitment

Overview:

Our client is seeking a legal focussed candidate to liaise with external council in managing structured debt transactions.
Our client is a global Investment bank and a market leader in structured debt and loan transactions

Responsibilities:

New Transaction Negotiation
• Assist Business Development Managers to prepare proposals and to ensure that our client has proper licenses and authority to provide trustee services on transaction
• Understand transaction structures and agreed business deal between transaction parties
• Appoint legal counsel to advise our client on transaction
• Review and negotiate all aspects of transaction documentation to ensure compliance with legal and regulatory requirements pertaining to our client and that roles and documents comply with our client standards for transaction documents
• Prepare Directors execution memo for transaction approval to enter into final transaction documents
• Ensure delivery to our client of original execution transaction documents signed by our client together with full bible of documents pertaining to transaction
• Review and negotiate all transaction documentation amendments and where necessary appoint appropriate legal counsel or other advisors to advise

Transaction Termination
• Review and negotiate transaction termination documentation to ensure that proper steps have been followed to terminate appointments and extinguish trusts.
• Execute termination documentation if required.

Defaulted Accounts Litigation
• Monitor all litigation defaults and breaches in relation to transactions
• Appoint legal counsel to advise on our client position with respect to these defaulted or litigation accounts
• Provide reports of all litigation issues to the Board of Directors of the Company on a quarterly basis
Risk Compliance
• Liaise with internal legal both locally and overseas as well as work closely with our client’s internal risk and compliance departments and is required where necessary to draft and implement internal policies to regulate document review and risk compliance.

Internal Compliance / Risk Management
• Follow all appropriate policies and procedures
• Understand the Company’s Business Continuity and Disaster Recovery Plan
• Awareness of critical and regulatory issues that impact the industry and business line
• Prioritize and organize to ensure assignments and critical tasks are completed thoroughly, results are timely, and performance standards are consistently followed
• Able to assist/conduct training for other our client staff when necessary
• Be aware of and continually review provisions of governing documents, elevate to Guarded/Default Status as necessary
• Work with Risk Compliance Committee representatives to ensure quality/satisfactory account audits and examinations while adhering to our client policies procedures

Client Relationship Support

• Maintain working knowledge of client accounts and governing documents, ensuring that routine problem solving activities and correction of processing errors are addressed correctly.
• Prepare routing correspondence for client review and sign off
• Ensure that client complaints are addressed promptly and that relationship management is kept appraised of all client matters and of any problems related to the administration of the account

Prerequisites:

• Legal education background, ideally an LLb or equivalent.
•Previous experience within structured debt or loan products.
•Operations or middle office experience within treasury products in an institutional or investment banking background would be held in high regard.
• Ability to instruct solicitors and receive appropriate advice on technical issues tailored to achieve commercial objectives.
